Without written permission of the authors, no part of the software or the documentation that belongs to the software may be reproduced, processed by electronical systems, distributed or duplicated, except according to the guidelines that are named in this license agreement. II. Grant of Usage The software 'The Next Tool' for Windows(R) 95 is shareware. That means the software can be tried out for 30 days free of charge. If the software is to be used permanently, the user has to purchase a user license. By purchasing the user license, the user obtains a personal registration code as well as the right to use the software permanently. If an unregistered version of the software is used or the software is used without a registration code, a notification will appear about 10 days after the software was installed. After 30 days, the notification will block the use of the program and can be removed without quitting the program only after an increasing period of time. Distributing the unregistered version of the software is permitted, provided that none of the conditions that are named in this license agreement are violated. By purchasing a user license, the customer obtains the right to use the software without restrictions, according to the guidelines that are named in this license agreement. Purchasing a user license and a registration code only entitles the use of the software by one person on one computer system at one given moment in time. If the software is to be used on a number of computer systems at the same time, a user license and a registration code must be purchased for each installation of the software. The user license can be sold to a third person. In this case, the seller loses the right to use the software with the registration code that belongs to the license and the right to use the software becomes property of the buyer. The authors leave it to the seller and the buyer to inform them of the disposal of the user license, so a personal registration code, which belongs to the user license, can be generated for the buyer. Passing the registration code to a third person implies passing the user license. The software may be duplicated and distributed without the registration code according to the guidelines that are named below. Renting, lending or modifying the software as well as using the software on a number of computer systems with the same registration code at the same time is not permitted. Decompiling or disassembling the software is only permitted to obtain information that is necessary to establish the interoperability of a computer program that was created independently. III. Distribution Requirements The software 'The Next Tool' for Windows(R) 95 is protected by copyright laws and international copyright treaties. The software may be duplicated and distributed as an unregistered version, that means only without registration codes, according to the following guidelines and provided that none of the conditions of this license agreement are violated. - The software may only be distributed completely, inlcuding all files that are named below. None of the files may be modified or omitted. - The distribution has to be free of charge or for a common contribution towards expenses. - Including the software in public domain collections and the distribution on public domain or shareware CD-ROMs as well as spreading the software through computer networks and online services is allowed. - Selling the software commercially or distributing it as the sole program on a data carrier without written permission of the authors is not permitted. Limited Warranty and Liability a) Disclaimer of Warranty for the Use of the Software Without Purchasing a User License and Without a Valid Registration Code The user has the chance to try out the software for 30 days free of charge. The software is supplied as is. There is no warranty for the correctness of the software and its suitability for a certain purpose and the authors shall not be liable for any damages, direct of consequential, that arise from the free use of the software or the use of the software without purchasing a user license and without a valid registration code. b) Limited Warranty for the Use of the Software After the Purchase of a User License and the Use With a Valid Registration Code The user has the chance to try out the software for 30 days free of charge. The purchase of a user license takes place for the software 'as is' during the test period. No claim may arise from the purchase of a user license for the removal of defects that are obvious and/or already known to the user before the purchase of the user license. The authors guarantee that the software 'The Next Tool' for Windows(R) 95 corresponds to the product description and the documentation in all essential points and shows no errors or defects that limit the usability of the software regarding the usage as it was possible and known to the user before the purchase of the license, during the free test phase. In the case of a complaint, the licensee is commited to send his registration code and a comprehensible and verifiable description of the defect to the authors, so the defect can be examined and, if possible, removed and the software can be repaired. The costs for the examination and the removal of the defect will be covered by the authors if the complaint proves to be justified. There is no warranty for defects or damages that arise from a modification of the software by a third person, from a use of the software that does not correspond to the functionality as it is described in the online help or from the non-observance of notes in the documentation. In these cases, the authors shall especially not be liable for side-effects or damaging after-effects of a defect. If a repair or the delivery of a replacment does not remove an essential defect within a reasonable period of time, the licensee has the right to step back from the agreement or to demand a reduction of the license fee. Further claims by the licensee are excluded. c) Limited Liability The authors shall only be liable for damages of the licensee as far as they arise from intentional actions or gross negligence or from the violation of an essential duty by the authors or as far as they have to be compensated according to applicable law. In any case, the liability of the authors shall be limited to those typical damages the occurrence of which the authors have to sensibly expect according to the circumstances that are known to the authors at the moment of the completion of the contract. This limitation of liability is valid for all claims of compensation, regardless of the cause in law, especially for liability that arises from illegal action or guilt during contractual negotiations. The limitation of liability does not cover damages for which an imperative legal liability exists. For other damaging after-effects of a defect, the authors shall only be liable in the limited way described above. VI. General This agreement is subject to German law. The 'Convention on Contracts for the International Sale of Goods' is excluded. The exclusive place of jurisdiction is Stuttgart (Germany) for all disputes that may arise from this license agreement or from the use of the software. However, the authors remain authorized to take legal actions against the licensee at his general place of jurisdiction. If some parts of this license agreement are or become partly or entirely invalid or incomplete according to applicable law, the validity of the remaining parts of the agreement is not impaired. The transferal of rights from this license agreement by the licensee is excluded.
