  1.   REGISTERED USER -- LICENSE AGREEMENT AND LIMITED WARRANTY

  3. IMPORTANT - READ CAREFULLY BEFORE USING.  BY USING THIS PRODUCT, YOU
  4. INDICATE YOUR UNDERSTANDING AND ACCEPTANCE OF THE TERMS AND CONDITIONS
  5. OF THE FOLLOWING LICENSE AGREEMENT.

  7.           END-USER LICENSE AGREEMENT AND LIMITED WARRANTY
  8.  
  9. This is a legal agreement between you, the end user, and the Licensor,
  10. Hware Corporation.  By using the product, which includes the software
  11. applications, programs and code (the "software") and any accompanying
  12. materials and media provided therewith, you are agreeing to be bound
  13. by the terms and conditions of this license agreement.
  14.  
  15. The software, accompanying materials and media are a copyrighted and
  16. proprietary product of Hware, and contains valuable trade secrets.  It
  17. is licensed (not sold) only on the condition that you agree to the
  18. terms and conditions of this license agreement.  You assume
  19. responsibility for the selection of the software to achieve your
  20. intended results, and for the installation, use and results obtained
  21. from the software.

  23.                          END-USER LICENSE
  24.  
  25. GRANT OF LICENSE.  Hware grants to you, a fifteen (15) day evaluation
  26. period, the right to use one copy of the software on a single terminal
  27. connected to a single computer (i.e., with a single CPU).  You may not
  28. network the software or otherwise use it on more than one computer,
  29. computer terminal or workstation at the same time, unless you have
  30. separately licensed, purchased and paid for a copy for each computer,
  31. computer terminal and workstation on which it is used.
  32.  
  33. TERM.  This license agreement is effective until terminated by Hware.
  34. You may terminate it at any other time by destroying the software,
  35. accompanying materials and media, together with all copies,
  36. modifications and merged portions in any form.  It will also terminate
  37. upon conditions set forth elsewhere in this agreement, or if you fail
  38. to comply with any the term or condition of this agreement.  You agree
  39. upon such termination to destroy the software, accompanying materials
  40. and media, together with all copies, modifications and merged portions
  41. in any form.

  44. COPYRIGHT.  The software is owned by Hware or its suppliers and is
  45. protected by United States copyright laws and international treaty
  46. provisions.  Therefore, you must treat the software like any other
  47. copyrighted material (e.g., a book or musical recording) except that
  48. you may either (a) make one copy of the software solely for backup or
  49. archive purposes for each paid registration, or (b) transfer the
  50. software to a single hard disk provided you keep the original solely
  51. for backup or archive purposes for each paid registration.  You may
  52. not copy any preprinted written materials accompanying the software,
  53. and you may print only a single copy of any written materials provided
  54. by electronic or on magnetic media.
  55.  
  56. OTHER RESTRICTIONS.  You may not rent or lease the software, but you
  57. may transfer the software and accompanying materials on a permanent
  58. basis provided you retain no copies and the recipient agrees to the
  59. terms of this agreement.  You may not reverse engineer, decompile or
  60. disassemble the software.  If software is an update, any transfer must
  61. include the update and all prior versions.  This license shall be
  62. deemed terminated and void, if the product is to be used in any
  63. country whose laws permit the software to be reverse engineered,
  64. decompiled or disassembled, absent a written agreement to the contrary
  65. between you and Hware; continued use or distribution in such countries
  66. in violation of this provision shall subject you and any business,
  67. commercial enterprise or government agency at which such software is
  68. used, to liability and prosecution under the provisions of the United
  69. States RICO Act.
  70.  
  71. GENERAL.  This agreement is governed by the laws of the State of
  72. Illinois.  Should you violate any terms or conditions of this
  73. agreement, you agree that you shall be responsible for all damages
  74. incurred by Hware as a result of your violation or breach, including
  75. costs of litigation and reasonable attorneys' fees, and consent to the
  76. jurisdiction and venue of the Illinois courts.  In the event that you
  77. use the product in a place of business, commercial enterprise or
  78. government agency, the place of business, commercial enterprise or
  79. government agency shall, by your use of the product, be bound by the
  80. terms and conditions of this agreement, whether or not you have
  81. advised them of this agreement or your use of the product.

  83.                          LIMITED WARRANTY
  84.  
  85. LIMITED WARRANTY.  Hware warrants only that the software provided by
  86. Hware will perform substantially in accordance with the accompanying
  87. written materials for a period of 90 days from the date of receipt,
  88. and that any media provided by Hware will be free from defects in
  89. materials and workmanship under normal use and service for a period of
  90. 90 days from the date of receipt.  Any implied warranties on the
  91. software and media are limited to 90 days.  Some states do not allow
  92. limitations on duration of an implied warranty, so the above
  93. limitations may not apply to you.

  95. OTHER LIMITATIONS.  Hware does not warrant that the functions
  96. contained in the software or accompanying materials will meet your
  97. requirements, or that the operation or use of the software or
  98. accompanying materials will be uninterrupted or error free.  The
  99. accuracy of the information supplied with the product and its fitness
  100. for any purpose may change without notice, and should not be construed
  101. as any kind of a commitment on the part of Hware to further develop
  102. the product.  No responsibility is assumed for any errors or problems
  103. that may be encountered with use of this product.  There are no other
  104. warranties, either express or implied, whatsoever associated with this
  105. product, and it is otherwise sold "AS IS."
  106.  
  107. CUSTOMER REMEDIES.  Hware's entire liability and your exclusive
  108. remedy shall be, at Hware's option, either (a) return of the price
  109. paid or (b) repair or replacement of the software or media that does
  110. not meet Hware's Limited Warranty and which is returned to Hware
  111. with proof of purchase.  In no event will Hware's liability for any
  112. damages to you or any other person exceed the purchase price paid for
  113. the license to use the software, accompanying materials and media,
  114. regardless of the form of claim.  This Limited Warranty is void if
  115. failure of the software or media has resulted from accident, abuse or
  116. misapplication.  Any replacement software or media will be warranted
  117. only for the remainder of the original warranty or 30 days, whichever
  118. is longer.  THESE REMEDIES ARE NOT AVAILABLE OUTSIDE OF THE UNITED
  119. STATES OF AMERICA.

  123. NO OTHER WARRANTIES.  Hware disclaims all other warranties, either
  124. express or implied, including but not limited to implied warranties of
  125. merchantability and fitness for a particular purpose, with respect to
  126. the software, the accompanying materials and any accompanying media.
  127. This limited warranty gives you specific legal rights.  You may have
  128. others, which vary from state to state.
  129.  
  130. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  In no event shall Hware or
  131. its suppliers be liable for any damages whatsoever (including,
  132. without limitation, damages for loss of business or profits, business
  133. interruption, loss of business information, loss of data, or other
  134. pecuniary loss), arising out of the use of or inability to use the
  135. product, even if Hware has been advised of the possibility of such
  136. damages.  Because some states do not allow the exclusion or limitation
  137. of liability for consequential or incidental damages, the above
  138. limitations may not apply to you.

  140.                 U.S. GOVERNMENT RESTRICTED RIGHTS
  141.  
  142. The software and accompanying materials are provided with RESTRICTED
  143. RIGHTS.  Use, duplication, or disclosure by the Government is subject
  144. to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights
  145. in Technical Data and Computer Software clause at DFARS 252.227-7013
  146. or subparagraphs (c)(1) and (2) of the Commercial Computer
  147. Software-Restricted Rights at 48 CFR 52.227-19, as applicable law.

  151. YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND
  152. AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.  YOU FURTHER AGREE THAT
  153. IT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF THE AGREEMENT BETWEEN
  154. YOU AND LICENSOR WHICH SUPERSEDES ANY PROPOSAL OR PRIOR AGREEMENTS,
  155. ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS RELATING TO THE
  156. SUBJECT MATTER OF THIS AGREEMENT.
