  1. FLEXENSE END USER LICENSE AGREEMENT (EULA)

  3. This FLEXENSE Ltd. End-User License Agreement
  4. ("Agreement") is a legal agreement between you (either an individual
  5. or a legal entity) ("Licensee") and FLEXENSE Ltd. 
  6. ("FLEXENSE") for the FLEXENSE software product(s) accompanying this Agreement, 
  7. which include(s) computer software and may include "online" or electronic
  8. documentation, associated media, and printed materials, 
  9. including the example programs and the documentation ("Licensed Software").

  11. The Licensed Software is protected by copyright laws and international
  12. copyright treaties, as well as other intellectual property laws and
  13. treaties. The Licensed Software is licensed, not sold.
  14.  
  15. By installing, copying, or otherwise using the Licensed Software,
  16. Licensee agrees to be bound by the terms of this Agreement. If
  17. Licensee does not agree to the terms of this Agreement, Licensee may
  18. not install, copy, or otherwise use the Licensed Software; Licensee
  19. may, however, return it to Licensee's place of purchase for a full
  20. refund. In addition, by installing, copying, or otherwise using any
  21. updates or other components of the Licensed Software that Licensee
  22. receives separately as part of the Licensed Software ("Updates"),
  23. Licensee agrees to be bound by any additional license terms that
  24. accompany such Updates. If Licensee does not agree to the additional
  25. license terms that accompany such Updates, Licensee may not install,
  26. copy, or otherwise use such Updates.

  28. Upon Licensee's acceptance of the terms and conditions of this
  29. Agreement, FLEXENSE grants Licensee the right to use the Licensed
  30. Software in the manner provided below.

  32. FLEXENSE grants to Licensee as an individual a personal,
  33. nonexclusive, non-transferable license to use a single copy of the Licensed 
  34. Software for the sole purposes of searching, categorizing, classifying 
  35. and managing local and remote file systems.

  37. WARRANTY DISCLAIMER
  38. The Licensed Software is licensed to Licensee "as is". To the maximum
  39. extent permitted by applicable law, FLEXENSE on behalf of itself and
  40. its suppliers, disclaims all warranties and conditions, either express
  41. or implied, including, but not limited to, implied warranties of
  42. merchantability, fitness for a particular purpose, title and
  43. non-infringement with regard to the Licensed Software.

  45. LIMITATION OF LIABILITY
  46. If, FLEXENSE's warranty dislaimer notwithstanding, FLEXENSE is held
  47. liable to Licensee, whether in contract, tort or any other legal
  48. theory, based on the Licensed Software, FLEXENSE's entire liability
  49. to Licensee and Licensee's exclusive remedy shall be, at FLEXENSE's
  50. option, either (A) return of the price Licensee paid for the Licensed
  51. Software, or (B) repair or replacement of the Licensed Software,
  52. provided Licensee returns to FLEXENSE all copies of the Licensed
  53. Software as originally delivered to Licensee. FLEXENSE shall not
  54. under any circumstances be liable to Licensee based on failure of the
  55. Licensed Software if the failure resulted from accident, abuse or
  56. misapplication, nor shall FLEXENSE under any circumstances be liable
  57. for special damages, punitive or exemplary damages, damages for loss
  58. of profits or interruption of business or for loss or corruption of
  59. data. Any award of damages from FLEXENSE to Licensee shall not exceed
  60. the total amount Licensee has paid to FLEXENSE in connection with
  61. this Agreement.

  64. SUPPORT AND UPDATES
  65. Licensee will be eligible to receive email based software developer
  66. support and access to Updates to the Licensed Software for a period
  67. not to exceed one year from the date of initial delivery, in
  68. accordance with FLEXENSE's then current policies and procedures, if
  69. any. Such policies and procedures may be changed from time to time.

  72. GENERAL PROVISIONS
  73. This Agreement may only be modified in writing signed by authorized
  74. representatives of Licensee and FLEXENSE. All terms of any purchase
  75. order or other ordering document shall be superseded by this
  76. Agreement. If any provision of the Agreement is found void or
  77. unenforceable, the remainder will remain valid and enforceable
  78. according to its terms. If any remedy provided is determined to have
  79. failed for its essential purpose, all limitations of liability and
  80. exclusions of damages set forth in this Agreement shall remain in
  81. effect.

  83. This Agreement shall be construed, interpreted and governed by the
  84. laws of Israel, the legal venue to be Tel-Aviv City Court. FLEXENSE
  85. reserves all rights not specifically granted in this Agreement.
