  2. PACKAGE, YOU ARE CONSENTING TO BE BOUND BY THIS
  3. AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF
  4. THIS AGREEMENT, CLICK THE "DO NOT ACCEPT" BUTTON AND THE
  5. INSTALLATION PROCESS WILL NOT CONTINUE OR RETURN THE

  8. LIVEPIX END USER LICENSE AGREEMENT
  9. REDISTRIBUTION NOT PERMITTED
  10.  
  11. This Agreement has 3 parts.  Part I applies if you have
  12. not purchased a license to the accompanying software (the
  13. "Software").  Part II applies if you have purchased a
  14. license to the Software.  Part III applies to all license
  15. grants.  If you initially acquired a copy of the Software
  16. without purchasing a license and you wish to purchase a
  17. license, contact Live Picture, Inc. ("LivePicture") on the
  18. Internet at http://www.livepix.com.
  19.  
  20. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET)
  21. PAID (LIMITED TO EVALUATION, EDUCATIONAL AND NON-PROFIT
  22. USE) GRANT.
  23.  
  24. Live Picture grants you a non-exclusive license to use
  25. the Software free of charge if your use of the Software
  26. is for the purpose of evaluating whether to purchase an
  27. ongoing license to the Software.  The evaluation period
  28. for use by or on behalf of a commercial entity is
  29. limited to 60 days; evaluation use by others is not
  30. subject to this 60 day limit.  If you are using the
  31. Software free of charge, you are not entitled to
  32. hard-copy documentation, support or telephone assistance. 
  33. If you fit within the description above, you may use the
  34. Software in the manner described in Part III below under
  35. "Scope of Grant."
  36.  
  37. DISCLAIMER OF WARRANTY.
  38.  
  39. Free of charge Software is provided on an "AS IS" basis,
  40. without warranty of any kind, including without
  41. limitation the warranties of merchantability, fitness for
  42. a particular purpose and non-infringement. The entire
  43. risk as to the quality and performance of the Software is
  44. borne by you.  Should the Software prove defective, you
  45. and not Live Picture assume the entire cost of any
  46. service and repair. In addition, the security mechanisms
  47. implemented by LivePix software have inherent
  48. limitations, and you must determine that the Software
  49. sufficiently meets your requirements. This disclaimer of
  50. warranty constitutes an essential part of the agreement.
  51. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN IMPLIED
  52. WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND
  53. YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY
  54. JURISDICTION.

  56. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  57.  
  58. GRANT. Subject to payment of applicable license fees,
  59. Live Picture grants to you a non-exclusive license to use
  60. the Software and accompanying documentation
  61. ("Documentation") in the manner described in Part III below
  62. under "Scope of Grant."
  63.  
  64. LIMITED WARRANTY.
  65.  
  66. Live Picture warrants that for a period of ninety (90) days
  67. from the date of acquisition, the Software, if operated
  68. as directed, will substantially achieve the functionality
  69. described in the Documentation. Live Picture does not
  70. warrant, however, that your use of the Software will be
  71. uninterrupted or that the operation of the Software will
  72. be error-free or secure. In addition, the security
  73. mechanisms implemented by LivePix software have inherent
  74. limitations, and you must determine that the Software
  75. sufficiently meets your requirements.  Live Picture also
  76. warrants that the medium containing the Software, if
  77. provided by Live Picture, is free from defects in material
  78. and workmanship and will so remain for ninety (90) days
  79. from the date you acquired the Software. Live Picture's
  80. sole liability for any breach of this warranty shall be, in
  81. Live Picture's sole discretion: (i) to replace your
  82. defective medium; or (ii) to advise you how to achieve
  83. substantially the same functionality with the Software as
  84. described in the Documentation through a procedure different
  85. from that set forth in the Documentation; or (iii) if the
  86. above remedies are impracticable, to refund the license fee
  87. you paid for the Software. Repaired, corrected, or replaced
  88. Software and Documentation shall be covered by this
  89. limited warranty for the period remaining under the
  90. warranty that covered the original Software, or if
  91. longer, for thirty (30) days after the date (a) of
  92. shipment to you of the repaired or replaced Software, or
  93. (b) Live Picture advised you how to operate the Software so
  94. as to achieve the functionality described in the
  95. Documentation. Only if you inform Live Picture of your
  96. problem with the Software during the applicable warranty
  97. period and provide evidence of the date you purchased a
  98. license to the Software will Live Picture be obligated to
  99. honor this warranty. Live Picture will use reasonable
  100. commercial efforts to repair, replace, advise or, for
  101. individual consumers, refund pursuant to the foregoing
  102. warranty within 30 days of being so notified.
  103.  
  104. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY
  105. MADE BY LIVE PICTURE. LIVE PICTURE MAKES NO OTHER
  106. EXPRESSED OR IMPLIED WARRANTY AND NO WARRANTY OF
  107. NONINFRINGEMENT OF THIRD PARTIES' RIGHTS, INCLUDING
  108. WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND
  109. OF FITNESS FOR A PARTICULAR PURPOSE. IF SUCH DISCLAIMER
  110. IS NOT PERMITTED BY LAW, THE DURATION OF ANY SUCH
  111. IMPLIED WARRANTIES IS LIMITED TO 60 DAYS FROM THE DATE
  112. OF DELIVERY.

  114. SOME JURIDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED
  115. WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED
  116. WARRANTY MAY LAST, OR THE EXCLUSION OR LIMITATION OF
  117. INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SUCH LIMITATION
  118. OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS WARRANTY GIVES
  119. YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER
  120. RIGHTS WHICH VARY FROM JURISDICTION TO JURISDICTION.
  121. NO LIVE PICTURE DEALER, AGENT, OR EMPLOYEE IS AUTHORIZED
  122. TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO
  123. THIS WARRANTY.

  125. If any modifications are made to the Software by you
  126. during the warranty period; if the media is subjected to
  127. accident, abuse, or improper use; or if you violate the
  128. terms of this Agreement, then this warranty shall
  129. immediately be terminated. This warranty shall not apply
  130. if the Software is used on or in conjunction with hardware
  131. or software other than the unmodified version of hardware
  132. and software with which the software was designed to be
  133. used as described in the Documentation.  THIS WARRANTY
  134. GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER
  135. LEGAL RIGHTS THAT VARY BY JURISDICTION.

  137. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  138.  
  139. SCOPE OF GRANT.
  140.  
  141. You may:
  142.   * use the Software on any single computer;
  143.   * use the Software on a network, provided that each
  144.     person accessing the Software through the network
  145.     must have a copy licensed to that person;
  146.   * use the Software on a second computer so long as only
  147.     one copy is used at a time;
  148.   * copy the Software for archival purposes, provided any
  149.     copy must contain all of the original Software's
  150.     proprietary notices; or
  151.  
  152.  
  153. You may not:
  154.   * permit other individuals to use the Software except
  155.     under the terms listed above;
  156.   * permit concurrent use of the Software;
  157.   * modify, translate, reverse engineer, decompile,
  158.     disassemble (except to the extent applicable laws
  159.     specifically prohibit such restriction), or create
  160.     derivative works based on the Software;
  161.   * copy the Software other than as specified above;
  162.   * rent, lease, grant a security interest in, or
  163.     otherwise transfer rights to the Software; or
  164.   * remove any proprietary notices or labels on the
  165.     Software.
  166.  
  167. TITLE.
  168.  
  169. Title, ownership rights, and intellectual property rights
  170. in the Software shall remain in Live Picture and/or its
  171. suppliers. The Software is protected by the copyright
  172. laws and treaties.  Title and related rights in the
  173. content accessed through the Software is the property of
  174. the applicable content owner and may be protected by
  175. applicable law. This License gives you no rights to such
  176. content.
  177.  
  178. TERMINATION.
  179.  
  180. The license will terminate automatically if you fail to
  181. comply with the limitations described herein.  On
  182. termination, you must destroy all copies of the Software
  183. and Documentation.
  184.  
  185. EXPORT CONTROLS.
  186.  
  187. None of the Software or underlying information or
  188. technology may be downloaded or otherwise exported or
  189. reexported (i) into (or to a national or resident of)
  190. Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria
  191. or any other country to which the U.S. has embargoed
  192. goods; or (ii) to anyone on the U.S. Treasury
  193. Department's list of Specially Designated Nationals or
  194. the U.S. Commerce Department's Table of Denial Orders. By
  195. downloading or using the Software, you are agreeing to
  196. the foregoing and you are representing and warranting
  197. that you are not located in, under the control of, or a
  198. national or resident of any such country or on any such
  199. list.
  200.  
  201. In addition, if the licensed Software is identified as a
  202. not-for-export product (for example, on the box, media or
  203. in the installation process), then the following applies:
  204. EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA BY
  205. CANADIAN CITIZENS, THE SOFTWARE AND ANY UNDERLYING
  206. TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED
  207. STATES OR TO ANY FOREIGN ENTITY OR "FOREIGN PERSON"
  208. AS DEFINED BY U.S. GOVERNMENT REGULATIONS, INCLUDING
  209. WITHOUT LIMITATION, ANYONE WHO IS NOT A CITIZEN,
  210. NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED
  211. STATES.  BY DOWNLOADING OR USING THE SOFTWARE, YOU
  212. ARE AGREEING TO THE FOREGOING AND YOU ARE WARRANTING
  213. THAT YOU ARE NOT A "FOREIGN PERSON" OR UNDER THE
  214. CONTROL OF A FOREIGN PERSON.
  215.  
  216. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER
  217. NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL
  218. LIVE PICTURE OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO
  219. YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL,
  220. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER
  221. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
  222. GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR
  223. MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES
  224. OR LOSSES. IN NO EVENT WILL LIVE PICTURE BE LIABLE FOR ANY
  225. DAMAGES IN EXCESS OF THE AMOUNT LIVE PICTURE RECEIVED
  226. FROM YOU FOR A LICENSE TO THE SOFTWARE, EVEN IF
  227. LIVE PICTURE SHALL HAVE BEEN INFORMED OF THE POSSIBILITY
  228. OF SUCH DAMAGES, OR FORA NY CLAIM BY ANY OTHER PARTY.
  229. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO
  230. LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT
  231. APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE,
  232. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR
  233. LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES,
  234. SO THIS LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.
  235.  
  236. HIGH RISK ACTIVITIES.
  237.  
  238. The Software is not fault-tolerant and is not designed,
  239. manufactured or intended for use or resale as on-line
  240. control equipment in hazardous environments requiring
  241. fail-safe performance, such as in the operation of
  242. nuclear facilities, aircraft navigation or communication
  243. systems, air traffic control, direct life support
  244. machines, or weapons systems, in which the failure of the
  245. Software could lead directly to death, personal injury,
  246. or severe physical or environmental damage ("High Risk
  247. Activities").  Live Picture and its suppliers
  248. specifically disclaim any express or implied warranty of
  249. fitness for High Risk Activities.
  250.  
  251. MISCELLANEOUS.
  252.  
  253. If the copy of the Software you received was accompanied
  254. by a printed or other form of "hard-copy" End User
  255. License Agreement whose terms vary from this Agreement,
  256. then the hard-copy End User License Agreement governs
  257. your use of the Software.  This Agreement represents the
  258. complete agreement concerning this license and may
  259. amended only by a writing executed by both parties. THE
  260. ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS
  261. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS
  262. SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.
  263. If any provision of this Agreement is held to be
  264. unenforceable, such provision shall be reformed only to
  265. the extent necessary to make it enforceable.  This
  266. Agreement shall be governed by California law (except for
  267. conflict of law provisions). The application the United
  268. Nations Convention of Contracts for the International
  269. Sale of Goods is expressly excluded.
  270.  
  271. U.S. GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or
  272. disclosure by the Government is subject to restrictions
  273. set forth in subparagraphs (a) through (d) of the
  274. Commercial Computer-Restricted Rights clause at FAR
  275. 52.227-19 when applicable, or in subparagraph (c)(1)(ii)
  276. of the Rights in Technical Data and Computer Software
  277. clause at DFARS 252.227-7013, or at 252.211-7015, or to
  278. Live Picture's standard commercial license, as applicable,
  279. and in similar clauses in the NASA FAR Supplement.
