  1. END USER LICENSE AGREEMENT
  2. REDISTRIBUTION NOT PERMITTED
  3.  
  4. If you initially acquired a copy of the Software without purchasing a 
  5. license and you wish to purchase a license, contact ShepherdÆs Worlds, 
  6. Inc. ("Shepworlds") on the Internet at http://www.shepworlds.com.

  8. EVALUATION LICENSE.
  9. Shepworlds grants you a non-exclusive license to use the Software free 
  10. of charge if you use the Software for the purpose of evaluating whether 
  11. to purchase an ongoing license to the Software.  The evaluation period 
  12. is limited to 30 days. Government agencies (other than public 
  13. libraries) are not considered educational, religious, or charitable 
  14. non-profit organizations for purposes of this Agreement. If you are 
  15. using the Software free of charge, you are not entitled to hard-copy 
  16. documentation, support or telephone assistance.  If you fit within the 
  17. description above, you may use the Software in the manner described 
  18. below under "Scope of Grant."  Unregistered use of the Software after 
  19. the evaluation period is in violation of U.S. and international 
  20. copyright laws.

  22. DISCLAIMER OF WARRANTY.
  23. Free of charge Software is provided on an "AS IS" basis, without 
  24. warranty of any kind, including without limitation the warranties of 
  25. merchantability, fitness for a particular purpose and non-infringement. 
  26. The entire risk as to the quality and performance of the Software is 
  27. borne by you.  Should the Software prove defective, you and not 
  28. Shepworlds assume the entire cost of any service and repair. In 
  29. addition, the security mechanisms implemented by Shepworlds software 
  30. have inherent limitations, and you must determine that the Software 
  31. sufficiently meets your requirements. This disclaimer of warranty 
  32. constitutes an essential part of the agreement. SOME JURISDICTIONS DO 
  33. NOT ALLOW EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT 
  34. APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY BY 
  35. JURISDICTION.

  37. GRANT. 
  38. Subject to payment of applicable license fees, Shepworlds grants to you 
  39. a non-exclusive license to use the Software and accompanying 
  40. documentation ("Documentation") in the manner described below "Scope of 
  41. Grant."
  42.  
  43. LIMITED WARRANTY.
  44. Shepworlds warrants that for a period of ninety (90) days from the date 
  45. of acquisition, the Software, if operated as directed, will 
  46. substantially achieve the functionality described in the Documentation. 
  47. Shepworlds does not warrant, however, that your use of the Software 
  48. will be uninterrupted or that the operation of the Software will be 
  49. error-free or secure. Shepworlds also warrants that the media 
  50. containing the Software, if provided by Shepworlds, is free from 
  51. defects in material and workmanship and will so remain for ninety (90) 
  52. days from the date you acquired the Software. ShepworldsÆ sole 
  53. liability for any breach of this warranty shall be, in ShepworldsÆ sole 
  54. discretion: (i) to replace your defective media; or (ii) to advise you 
  55. how to achieve substantially the same functionality with the Software 
  56. as described in the Documentation through a procedure different from 
  57. that set forth in the Documentation; or (iii) if the above remedies are 
  58. impracticable, to refund the license fee you paid for the Software.  
  59. Repaired, corrected, or replaced Software and Documentation shall be 
  60. covered by this limited warranty for the period remaining under the 
  61. warranty that covered the original Software, or if longer, for thirty 
  62. (30) days after the date (a) of shipment to you of the repaired or 
  63. replaced Software, or (b) Shepworlds advised you how to operate the 
  64. Software so as to achieve the functionality described in the 
  65. Documentation. Only if you inform Shepworlds of your problem with the 
  66. Software during the applicable warranty period and provide evidence of 
  67. the date you purchased a license to the software will Shepworlds be 
  68. obligated to honor this warranty. Shepworlds will use reasonable 
  69. commercial efforts to repair, replace, advise or, for individual 
  70. consumers, refund pursuant to the foregoing warranty within 30 days of 
  71. being so notified.

  73. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY MADE BY 
  74. SHEPWORLDS. SHEPWORLDS MAKES NO OTHER EXPRESS WARRANTY AND NO WARRANTY 
  75. OF NONINFRINGEMENT OF THIRD PARTIES' RIGHTS. THE DURATION OF IMPLIED 
  76. WARRANTIES, INCLUDING WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY 
  77. AND OF FITNESS FOR A PARTICULAR PURPOSE, IS LIMITED TO THE ABOVE 
  78. LIMITED WARRANTY PERIOD; SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON 
  79. HOW LONG AN IMPLIED WARRANTY LASTS, SO LIMITATIONS MAY
  80. NOT APPLY TO YOU. NO SHEPWORLDS DEALER, AGENT, OR EMPLOYEE IS 
  81. AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR ADDITIONS TO THIS 
  82. WARRANTY. If any modifications are made to the Software by you during 
  83. the warranty period; if the media is subjected to accident, abuse, or 
  84. improper use; or if you violate the terms of this Agreement, then this 
  85. warranty shall immediately be terminated. This warranty shall not apply 
  86. if the Software is used on or in conjunction with hardware or software 
  87. other than the unmodified version of hardware and software with which 
  88. the software was designed to be used as described in the Documentation.  
  89. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER 
  90. LEGAL RIGHTS THAT VARY BY JURISDICTION.

  92. SCOPE OF GRANT.
  93. You may:
  94. * use the Software on any single computer;
  95. * use the Software on a network, provided that each person accessing
  96.   the Software through the network must have a copy licensed to that 
  97.   person;
  98. * use the Software on a second computer so long as only one copy is
  99.   used at a time;
  100. * copy the Software for archival purposes, provided any copy 
  101.   must contain all of the original Software's proprietary notices.
  102.  
  103. You may not:
  104. * permit other individuals to use the Software except under the terms
  105.   listed above;
  106. * permit concurrent use of the Software;
  107. * modify, translate, reverse engineer, decompile, disassemble
  108.   (except to the extent applicable laws specifically prohibit such
  109.   restriction), or create derivative works based on the Software;
  110. * copy the Software other than as specified above;
  111. * rent, lease, grant a security interest in, or otherwise transfer
  112.   rights to the Software; or
  113. * remove any proprietary  notices or labels on the Software.
  114.  
  115. TITLE.
  116. Title, ownership rights, and intellectual property rights in the 
  117. Software shall remain in Shepworlds and/or its suppliers. The Software 
  118. is protected by United States copyright laws and international treaty 
  119. provisions. Therefore, you must treat the Software like any other 
  120. copyrighted material (e.g. a book or musical recording) except that you 
  121. may make one copy of the Software solely for backup purposes, which 
  122. includes all copyright and trademark notices.
  123.  
  124. OTHER RIGHTS.
  125. The Software shall be considered confidential information of Shepworlds 
  126. or its licensors and shall not be disclosed by you to any third party 
  127. who has not agreed to the terms of this Agreement in the manner 
  128. specified by Shepworlds. You may not modify, translate, reverse 
  129. engineer, decompile, disassemble or create derivative works based on 
  130. the Software, or remove any proprietary notices or labels it contains. 
  131. All applicable rights to patents, copyrights, trademarks and trade 
  132. secrets in the Software or any modifications to it shall be and remain 
  133. in Shepworlds or its licensors.

  136. TERMINATION.
  137. The license will terminate automatically if you fail to comply with the 
  138. limitations described herein.  On termination, you must destroy all 
  139. copies of the Software and Documentation.
  140.  
  141. EXPORT CONTROLS.
  142. None of the Software or underlying information or technology may be 
  143. downloaded or otherwise exported or reexported (i) into (or to a 
  144. national or resident of) Cuba, Iraq, Libya, Yugoslavia, North Korea, 
  145. Iran, Syria or any other country to which the U.S. has embargoed goods; 
  146. or (ii) to anyone on the U.S. Treasury Department's list of Specially 
  147. Designated Nationals or the U.S. Commerce Department's Table of Denial 
  148. Orders. By downloading or using the Software, you are agreeing to the 
  149. foregoing and you are representing and warranting that you are not 
  150. located in, under the control of, or a national or resident of any such 
  151. country or on any such list.

  153. In addition, if the licensed Software is identified as a not-for-export 
  154. product (for example, on the box, media or in the installation 
  155. process), then the following applies: EXCEPT FOR EXPORT TO CANADA FOR 
  156. USE IN CANADA BY CANADIAN CITIZENS, THE SOFTWARE AND ANY UNDERLYING 
  157. TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED STATES OR TO ANY 
  158. FOREIGN ENTITY OR "FOREIGN PERSON" AS DEFINED BY
  159. U.S. GOVERNMENT REGULATIONS, INCLUDING WITHOUT LIMITATION, ANYONE WHO 
  160. IS NOT A CITIZEN, NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED 
  161. STATES.  BY DOWNLOADING OR USING THE SOFTWARE, YOU ARE AGREEING TO THE 
  162. FOREGOING AND YOU ARE WARRANTING THAT YOU ARE NOT A "FOREIGN PERSON" OR 
  163. UNDER THE CONTROL OF A FOREIGN PERSON.

  165. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL 
  166. THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL SHEPWORLDS OR ITS SUPPLIERS 
  167. OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, 
  168. SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER 
  169. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK 
  170. STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER 
  171. COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL SHEPWORLDS BE LIABLE FOR 
  172. ANY DAMAGES IN EXCESS OF THE AMOUNT SHEPWORLDS RECEIVED FROM YOU FOR A
  173. LICENSE TO THE SOFTWARE, EVEN IF SHEPWORLDS SHALL HAVE BEEN INFORMED OF 
  174. THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. 
  175. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH OR 
  176. PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION. 
  177. FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR 
  178. LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION 
  179. AND EXCLUSION MAY NOT APPLY TO YOU.

  181. HIGH RISK ACTIVITIES.
  182. The Software is not fault-tolerant and is not designed, manufactured or 
  183. intended for use or resale as on-line control equipment in hazardous 
  184. environments requiring fail-safe performance, such as in the operation 
  185. of nuclear facilities, aircraft navigation or communication systems, 
  186. air traffic control, direct life support machines, or weapons systems, 
  187. in which the failure of the Software could lead directly to death, 
  188. personal injury, or severe physical or environmental damage ("High Risk 
  189. Activities").  Shepworlds and its suppliers specifically disclaim any 
  190. express or implied warranty of fitness for High Risk Activities.
  191.   
  192. MISCELLANEOUS.
  193. If the copy of the Software you received was accompanied by a printed 
  194. or other form of "hard-copy" End User License Agreement whose terms 
  195. vary from this Agreement, then the hard-copy End User License Agreement 
  196. governs your use of the Software.  This Agreement represents the 
  197. complete agreement concerning this license and may amended only by a 
  198. writing executed by both parties. THE ACCEPTANCE OF ANY PURCHASE ORDER 
  199. PLACED BY YOU IS EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS 
  200. SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER. If any 
  201. provision of this Agreement is held to be unenforceable, such provision 
  202. shall be reformed only to the extent necessary to make it enforceable.  
  203. This Agreement shall be governed by Florida law (except for conflict of 
  204. law provisions). The application the United Nations Convention of 
  205. Contracts for the International Sale of Goods is expressly excluded.

  207. CHANGED TERMS 
  208. Shepworlds shall have the right at any time to change the terms of this 
  209. Agreement or require new terms and to change, impose conditions on or 
  210. discontinue any aspect or feature of the Software. Such changes shall 
  211. be effective immediately upon notification by any means which give you 
  212. actual knowledge of them or upon posting of such terms on the Software, 
  213. and any use by you of the Software and receipt of the Information after 
  214. such notice shall be deemed acceptance of them by you.
  215.  
  216. U.S. GOVERNMENT RESTRICTED RIGHTS.  
  217. Use, duplication or disclosure by the Government is subject to 
  218. restrictions set forth in subparagraphs (a) through (d) of the 
  219. Commercial Computer-Restricted Rights clause at FAR 52.227-19 when 
  220. applicable, or in subparagraph (c)(1)(ii) of the Rights in Technical 
  221. Data and Computer Software clause at DFARS 252.227-7013, or at 252.211-
  222. 7015, or to Shepworlds's standard commercial license, as applicable, 
  223. and in similar clauses in the NASA FAR Supplement.
