  23.         NOTICE TO USERS ("COMPANY"):  CAREFULLY READ THE FOLLOWING
  24. LEGAL AGREEMENT. COMPANY'S USE OF THIS SOFTWARE IS CONDITIONED
  25. UPON COMPLIANCE BY COMPANY WITH THE TERMS OF THIS AGREEMENT. THE
  26. SOFTWARE MAY BE EVALUATED FOR FIVE DAYS ON A ROYALTY FREE BASIS. 
  27. CONTINUED USE AFTER EVALUATION IS CONDITIONED UPON PAYMENT BY
  28. COMPANY OF THE NEGOTIATED LICENSE FEE SPECIFIED IN A CONFIRMATION
  29. LETTER FROM MCAFEE, INC. ("MCAFEE").
  30.  
  31.         The Software may not be distributed by Company to any
  32. outside corporation, organization or government agency.  This
  33. license authorizes Company to use the number of copies described
  34. in the confirmation letter from McAfee and for which Company has
  35. paid McAfee the negotiated license fee.  If the confirmation
  36. letter from McAfee indicates that Company's license is
  37. "Corporate-Wide", this license will be deemed to cover copies
  38. duplicated and distributed by Company for use on any additional
  39. incremental machines purchased or leased by Company during the
  40. negotiated period, at no additional charge.  This license will 
  41. remain in effect for two years from the date of the confirmation 
  42. letter from McAfee authorizing such continued use or such other period
  43. as is stated in the confirmation letter (the "Term").  If Company
  44. does not obtain a confirmation letter and pay the applicable
  45. license fee, this license expires at the end of the five day
  46. evaluation period.  All updates must be accessed and downloaded
  47. from McAfee's bulletin board (BBS), the McAfee Forum on
  48. CompuServe and Ameica Online or McAfee's Internet node.  Access 
  49. instructions for the Company's licensed user bulletin board are 
  50. included in the confirmation letter. 
  51.  
  52. I.      SINGLE POINT OF CONTACT.  Support for Software bug reports
  53. and other product issues will be handled through a single point
  54. of contact within the Company.  Company shall identify the
  55. contact individual when placing its order with McAfee or McAfee's
  56. Authorized Agent.  There will be no charge for support of the
  57. Software from the Company's headquarters in Santa Clara when
  58. channelled through such individual.  Support requests from other
  59. organizational areas will be billed at normal hourly support rates.
  60.  
  61. II. TECHNICAL  SUPPORT.   If technical support is included in the 
  62. license grant, telephone, BBS, CompuServe, America Online  and Internet 
  63. support is available.  On-site support may be obtained from a McAfee 
  64. Authorized Agent, as available, at a negotiated hourly rate plus travel 
  65. time and expenses.
  66.  
  67. III.    EMPLOYEE HOME USE OPTION. 
  68.  McAfee will license the Software for home use by employees if requested by
  69. Company, in writing, within the first year of the license.  The cost for 
  70. this option is 25% of the then current USSRP for that license product for 
  71. that number of employee home use machines.
  72.  
  73. IV.     GENERAL TERMS.
  74.  
  75.         COPYRIGHT.  The Software is protected by United States
  76. copyright laws and international treaty provisions.  Company
  77. acknowledges that no title to the intellectual property in the
  78. Software is transferred to Company.  Company further acknowledges
  79. that full ownership rights to the Software will remain the
  80. exclusive property of McAfee or its suppliers, and Company will
  81. not acquire any rights to the Software except as expressly set
  82. forth in this license.  Company agrees that any copies of the
  83. Software made by Company will contain the same proprietary
  84. notices which appear on and in the Software.
  85.  
  86.         REVERSE ENGINEERING.  Company agrees that it will not
  87. attempt, and will use its best efforts to prevent its employees
  88. from attempting to reverse compile, modify, translate or disassemble 
  89. the Software in whole or in part.
  90.  
  91.         LIMITED WARRANTY.  McAfee warrants that the Software will
  92. perform substantially in accordance with the accompanying documentation 
  93. for a period of ninety (30) days from the date McAfee receives payment.
  94.  
  95.         COMPANY REMEDIES.  If the Software does not conform to the
  96. limited warranty above ("Limited Warranty"), McAfee's entire
  97. liability and Company's sole and exclusive remedy shall be, at
  98. McAfee's option, either to (a) correct the error, (b) help
  99. Company work around or avoid the error or (c) authorize a refund,
  100. so long as the Software is destroyed by Company.  The Limited
  101. Warranty is void if failure of the Software has resulted from
  102. accident, abuse, or misapplication.  Any replacement Software
  103. will be warranted for the remainder of the original Limited
  104. Warranty period.
  105.  
  106.         NO OTHER WARRANTIES.  MCAFEE DOES NOT WARRANT THAT
  107. THE SOFTWARE IS ERROR FREE, IDENTIFIES ALL KNOWN VIRUSES OR MAY NOT
  108. OCCASIONALLY REPORT A VIRUS IN A FILE NOT INFECTED BY THAT VIRUS.
  109. EXCEPT FOR THE EXPRESS LIMITED WARRANTY ABOVE, MCAFEE DISCLAIMS ALL
  110. OTHER WARRANTIES WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS OR
  111. IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
  112. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT
  113. OF THIRD PARTY RIGHTS.
  114.  
  115.         SEVERABILITY.  In the event of invalidity of any provision
  116. of this license, the parties agree that such invalidity shall not
  117. affect the validity of the remaining portions of this license.
  118.  
  119.         NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  IN NO EVENT SHALL
  120. MCAFEE OR ITS SUPPLIERS BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL
  121. OR INDIRECT DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY,
  122. PERFORMANCE OR USE OF THE SOFTWARE, EVEN IF MCAFEE HAS BEEN
  123. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  IN NO EVENT WILL
  124. MCAFEE'S LIABILITY FOR ANY CLAIM, WHETHER IN CONTRACT, TORT OR
  125. ANY OTHER THEORY OF LIABILITY, EXCEED THE LICENSE FEE PAID BY
  126. COMPANY.
  127.  
  128.         EXPORT.  Company agrees that it will not export or re-export
  129. the Software to North Korea, Vietnam, Cuba, Iran or Iraq without
  130. the appropriate United States or foreign government licenses.
  131.  
  132.         GOVERNING LAW.  This Agreement will be governed by the laws
  133. of the State of California as they are applied to agreements to
  134. be entered into and to be performed entirely within California. 
  135. The United Nations Convention on Contracts for the International
  136. Sale of Goods is specifically disclaimed.
  137.  
  138.         U.S. GOVERNMENT RESTRICTED RIGHTS.  If the Software is
  139. acquired (i) for use by DoD, use, duplication or disclosure by
  140. the Government is subject to the terms of this license unless
  141. superseded by 252.227-7013(c)(1)(ii) or (ii) for use by civilian
  142. agencies, use, reproduction or disclosure is subject to the terms
  143. of this license unless superseded by 52.227-19.
  144.  
  145.         ENTIRE AGREEMENT.  This Agreement together with any McAfee
  146. confirmation letter constitute the entire agreement between
  147. Company and McAfee which supersedes any prior agreement,
  148. including any prior license from McAfee, or understanding,
  149. whether written or oral, relating to the subject matter of this
  150. Agreement.  The terms and conditions of this Agreement shall
  151. apply to all orders submitted to McAfee and shall supersede any
  152. different or additional terms on purchase orders from Company.

  164.         NOTICE TO SERVICE PROVIDERS ("COMPANY"):  CAREFULLY READ THE
  165. FOLLOWING LEGAL AGREEMENT. COMPANY'S USE OF THIS SOFTWARE IS
  166. CONDITIONED UPON COMPLIANCE BY COMPANY WITH THE TERMS OF THIS
  167. AGREEMENT AND PAYMENT BY COMPANY OF THE NEGOTIATED LICENSE FEE
  168. SPECIFIED IN A CONFIRMATION LETTER FROM MCAFEE, INC.("MCAFEE").

  170.         The Software may not be distributed by Company to any
