  1. Princeton Review Software License Agreement
  2.  
  3. This License Agreement is your proof of license. Please treat it as 
  4. valuable property.
  5.  
  6. LICENSE AGREEMENT
  7.  
  8. This is a legal agreement between you (either an individual or an 
  9. entity), the end user, and the Princeton Review Publishing, L.L.C., (TPRP). 
  10. By using the software enclosed, you and any transferees and/or multiple 
  11. licensees hereunder agree to be bound by the terms of this Princeton 
  12. Review License Agreement. If you do not agree to its terms, promptly
  13. return the disk package and accompanying items (including written 
  14. materials and binders or other containers) to the place you obtained 
  15. them for a full refund.

  17. PRINCETON REVIEW SOFTWARE LICENSE
  18.  
  19. 1.  GRANT OF LICENSE   This Princeton Review License Agreement 
  20. (License) permits you to use one copy of the specified version of the
  21. Princeton Review software product identified above (SOFTWARE) 
  22. on any single computer, provided the SOFTWARE is in use on only
  23. one computer at any time. If you have multiple Licenses for the 
  24. SOFTWARE, then at any time you may have as many copies of the
  25. SOFTWARE in use as you have Licenses. The SOFTWARE is 
  26. in use on a computer when it is loaded into the temporary memory (i.e., 
  27. RAM) or installed into the permanent memory (e.g., hard disk, CD-ROM, or 
  28. other storage device) of that computer, except that a copy installed on a 
  29. network server for the sole purpose of distribution to other computers is 
  30. not in use. If the anticipated number of users of the SOFTWARE will 
  31. exceed the number of applicable Licenses, then you must have a reasonable 
  32. mechanism or process in place to ensure that the number of persons using 
  33. the SOFTWARE concurrently does not exceed the number of Licenses. If the 
  34. SOFTWARE is permanently installed on the hard disk or other storage 
  35. device of a computer (other than a network server) and one person uses 
  36. that computer more than 80% of the time it is in use, then that person 
  37. may also use the SOFTWARE on a portable or home computer.

  39. 2. COPYRIGHT  The SOFTWARE is owned by TPRP or its suppliers and is 
  40. protected by United States copyright laws and international treaty 
  41. provisions. Therefore, you must treat the SOFTWARE like any other 
  42. copyrighted material (e.g., a book or musical recording) except that you 
  43. may either (a) make one copy of the SOFTWARE solely for backup or 
  44. archival purposes, or (b) transfer the SOFTWARE to a single hard disk 
  45. provided you keep the original solely for backup or archival purposes. 
  46. You may not copy the written materials accompanying the SOFTWARE.

  48. 3. OTHER RESTRICTIONS   This License is your proof of license to exercise 
  49. the rights granted herein and must be retained by you. You may not rent 
  50. or lease the SOFTWARE, but you may transfer your rights under this 
  51. License on a permanent basis provided you transfer this License, the 
  52. SOFTWARE, and all accompanying written materials and retain no copies, 
  53. and the recipient agrees to the terms of this License. You may not 
  54. reverse engineer, decompile, or disassemble the SOFTWARE. Any transfer of 
  55. the SOFTWARE must include the most recent update and all prior versions.
  56. LIMITED WARRANTY
  57.  
  58. 4.  LIMITED WARRANTY. TPRP warrants that (a) The SOFTWARE will perform 
  59. substantially in accordance with the accompanying written materials for a 
  60. period of ninety (90) days from the date of receipt; and (b) any hardware 
  61. accompanying the SOFTWARE will be free from defects in materials and 
  62. workmanship under normal use and service for a period of one (1) year 
  63. from the date of receipt. Any implied warranties on the SOFTWARE and 
  64. hardware are limited to ninety (90) days and one (1) year, respectively. 
  65. Some states or jurisdictions do not allow limitations on duration of an 
  66. implied warranty, so the above limitation may not apply to you.

  68. CUSTOMER REMEDIES. TPRP's entire liability and your exclusive remedy 
  69. shall be at TPRP's option, either (a) return of the price paid or (b) 
  70. repair or replacement of the SOFTWARE or hardware that does not meet 
  71. TPRP's Limited Warranty and that is returned to TPRP with a copy of your 
  72. receipt. This Limited Warranty is void if failure of the SOFTWARE or 
  73. hardware has resulted from accident, abuse, or misapplication. Any 
  74. replacement SOFTWARE will be warranted for the remainder of the original 
  75. warranty period or thirty (30) days, whichever is longer. These remedies 
  76. are not available outside the United States of America.
  77.  
  78. NO OTHER WARRANTIES. TPRP disclaims all other warranties, either express 
  79. or implied, including but not limited to implied warranties of 
  80. merchantability and fitness for a particular purpose with respect to the 
  81. SOFTWARE, the accompanying written materials, and any accompanying 
  82. hardware. This limited warranty gives you specific legal rights. You may 
  83. have others, which vary from state or jurisdiction to state or 
  84. jurisdiction.
  85.  
  86. NO LIABILITY FOR CONSEQUENTIAL DAMAGES. In no event shall TPRP or its 
  87. suppliers be liable for any damages whatsoever (including, without 
  88. limitation, damages for loss of business profits, business interruption, 
  89. loss or business information, or other pecuniary loss) arising out of the 
  90. use or inability to use this TPRP product, even if TPRP has been advised 
  91. of the possibility of such damages. Because some states or jurisdictions 
  92. do not allow the exclusion or limitation of liability for consequential 
  93. or incidental damages, the above limitation may not apply to you.

  95. U.S. GOVERNMENT RESTRICTED RIGHTS
  96. The SOFTWARE and documentation are provided with RESTRICTED RIGHTS. Use, 
  97. duplication, or disclosure by the Government is subject to restrictions 
  98. as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data 
  99. and Computer Software clause at DFARS 252.227-7013 or subparagraphs 
  100. (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 
  101. 48 CFR 52.227-19, as applicable. Contractor manufacturer is PRP,
