  8.   A. Grant of Licence
  9.   SILK WEBWARE ltd grants to Licensee a non-exclusive license to use 
  10.   SearchlinkV3 "afSearchlink" (henceforth called the "Software") on a single web site
  11.   that is accessible over the Internet network or over an intranet 
  12.   network for for 30 days evaluation purposes. If the Software is used on multiple web sites, then an
  13.   additional license must be purchased for each additional sites. The
  14.   Software is copyrighted and title to all copies is retained by  SILK WEBWARE 
  15.    and/or it's licensors.  No right, title or  interest in and to any trademarks or trade names of  SILK WEBWARE,
  16.    or  SILK WEBWARE's licensors is granted hereunder.

  18.   You are not permitted to distribute the applet in any fashion 
  19.   which would promote, encourage or allow reuse or redistribution 
  20.   of the Applet, other than as permitted above.

  22.   B. Warranty.
  23.   This Software and the accompanying files are provided "AS IS," 
  24.   without a warranty of any kind.

  26.   C.DISLAIMER OF WARRANTY 
  27.   THIS SOFTWARE AND THE ACCOMPANYING FILES ARE SOLD "AS IS" AND 
  28.   WITHOUT WARRANTIES AS TO PERFORMANCE OF MERCHANTABILITY OR ANY 
  29.   OTHER WARRANTIES WHETHER EXPRESSED OR IMPLIED. Because of the 
  30.   various hardware and software environments into which SILK WEBWARE's 
  31.   Software may be put, NO WARRANTY OF FITNESS 
  32.   FOR A PARTICULAR PURPOSE IS OFFERED.

  35.   D. Limitation of Liability.
  36.   IN NO EVENT WILL SILK WEBWARE OR ITS SUPPLIERS BE LIABLE FOR ANY 
  37.   LOST REVENUE, PROFIT OR DATA, OR FOR DIRECT, SPECIAL, INDIRECT, 
  38.   CONSEQUENTIAL, INCIDENTAL OR PUNATIVE DAMAGES HOWEVER CAUSED AND 
  39.   REGARDLESS OF THEORY OF LIABILITY, ARISING OUT OF THE USE OF OR 
  40.   INABILITY TO USE SOFTWARE, EVEN IF SILK WEBWARE HAS BEEN 
  41.   ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  43.   E. Termination. 
  44.   This License is effective until terminated. Licensee may 
  45.   terminate the License at any time by destroying all copies of 
  46.   Software. The License will terminate immediately without notice 
  47.   from Silk Webware if Licensee fails to comply with any 
  48.   provision of this License. Upon termination, Licensee must 
  49.   destroy all copies of the software.

  51.   F. CONFIDENTIALITY.  Software is confidential and proprietary 
  52.   information of SILK WEBWARE, and/or it licensors. Licensee 
  53.   agrees to take reasonable steps to protect Software from 
  54.   unauthorized disclosure or use. Licensee shall not (and shall 
  55.   not permit other persons or entities to) reverse-engineer, 
  56.   decompile, disassemble, merge, modify, create derivative works 
  57.   of, or translate any part of the Software except as allowed in 
  58.   this license agreement.

  60.   G. Export Regulations. 
  61.   Software, including technical data, is subject to U.S. export 
  62.   control laws, including the U.S. Export Administration Act and 
  63.   its associated regulations, and may be subject to export or 
  64.   import regulations in other countries. Licensee agrees to comply 
  65.   strictly with all such regulations and acknowledges that it has 
  66.   the responsibility to obtain licenses to export, re-export, or 
  67.   import Software.

  69.   H. High Risk Activities. 
  70.   The Software is not fault-tolerant and  is not designed, 
  71.   manufactured or intended for use or resale as on-line control
  72.   equipment in hazardous environments requiring fail-safe 
  73.   performance, such as in the operations of nuclear facilities,
  74.   aircraft navigation or communication systems, or air traffic
  75.   control, in which the failure of the Software could lead 
  76.   directly to death, personal injury, or severe physical or 
  77.   environmental damage("High risk Activities"). SILK WEBWARE 
  78.   specifically disclaims any express or implied warranty of 
  79.   fitness for High Risk Activities.

  81.   I. Governing Law.
  82.   This agreement is made under, shall be governed by and construed 
  83.   in accordance with the laws of NewZealand.
  84.  
  85.   J. Integration. This agreement is the entire agreement between 
  86.   Licensee and SILK WEBWARE relating to Software and: 
  87.   (i) supersedes all prior or contemporaneous oral or written 
  88.   communications, proposals and representations with respect to 
  89.   its subject matter; and (ii) prevails over any conflicting or 
  90.   additional terms of any quote, order, acknowledgment, or similar 
  91.   communication between the parties during the term of this 
  92.   Agreement. No modification to this Agreement will be binding, 
  93.   unless in writing and signed by a duly authorized representative 
  94.   of each party.
