  4. LICENSE AGREEMENT
  5.  
  6. 1. Finjan grants to you a non-exclusive, non-sublicensable, license to use SurfinCheck
  7. 1.0, in binary executable form as per the conditions and limitations of this License
  8. Agreement.
  9.  
  10. 2. GRANT OF LICENSE - This Finjan License Agreement ("License") permits you to use one
  11. copy of SurfinCheck 1.0 ("SOFTWARE") acquired with this License, which may serve as a
  12. server for up to the number of computers for which you have paid for this license
  13. (each, a "Seat"). A computer serves as a Seat when it accesses or utilizes, directly or
  14. indirectly, the SOFTWARE. Use of software or hardware which reduces the number of
  15. computers directly accessing or utilizing the SOFTWARE (also know as "pooling" or
  16. "multiplexing") will not reduce the number of Seats, since each computer indirectly
  17. accessing or utilizing the SOFTWARE is still considered a Seat.

  19. 3. COPYRIGHT - The SOFTWARE is owned by Finjan Software Ltd. or its suppliers and is
  20. protected by Israeli copyright laws, international treaty provisions and all other
  21. applicable national laws. Therefore, you must treat the SOFTWARE like any other
  22. copyrighted material (e.g. a book or musical recording), except that if the SOFTWARE is
  23. not copy protected, you may make one copy of the SOFTWARE solely for backup or archival
  24. purposes, provided any copy must contain all of the original SOFTWARE'S proprietary
  25. notices. You may not copy the Product manual(s) or written materials accompanying the
  26. SOFTWARE. If you receive your first copy of the SOFTWARE electronically, and a second
  27. copy on media, the second copy may be used for archival purposes only. The license does
  28. not grant you any right to any enhancement or update.

  30. 4. RESTRICTIONS - You may not rent or lease the SOFTWARE, and may not transfer your
  31. rights under this License Agreement, without obtaining the prior written consent of
  32. Finjan. You may not reverse, engineer, decompile or disassemble the SOFTWARE. You may
  33. not integrate, incorporate or bundle the SOFTWARE into any other software or include
  34. such SOFTWARE in other software or hardware without receiving the prior written consent
  35. of Finjan. You acknowledge that the SOFTWARE in source code form remains a confidential
  36. trade secret of Finjan and/or its suppliers.

  38. 5. RELEASE - While Finjan intends to distribute a commercial release of the Software,
  39. Finjan reserves the right at any time not to release a commercial release of the
  40. Software or, if released, to alter prices, features, specifications, capabilities,
  41. functions, licensing terms, release dates, general availability or other
  42. characteristics of the commercial release.

  44. 6. TERM - You may terminate your License and this Agreement at anytime by destroying
  45. all copies of the Product and Product documentation.
  46.  
  47. 7. TERMINATION - This license will terminate automatically upon the earlier of (i)
  48. thirty days from the day you accept the terms of this license as aforesaid, or (ii)
  49. upon your failure to comply with the limitations described above. On termination, you
  50. must destroy all copies of the SOFTWARE. 
  51.  
  52. 8. NOTE ON JAVA SUPPORT - The product contains support for programs written in Java.
  53. Java technology is not fault tolerant and is not designed, manufactured, or intended
  54. for use or resale as on-line control equipment in hazardous environments requiring
  55. fail-safe performance, such as in the operation of nuclear facilities, aircraft
  56. navigation or communication systems, air traffic control, direct life support machines,
  57. or weapons systems, in which the failure of Java technology could lead directly to
  58. death, personal injury, or severe physical or environmental damage ("high risk
  59. activities"). Furthermore, the product does not provide complete protection against
  60. harmful Java applications nor against Java Applets. THE USER IS EXPLICITLY WARNED THAT
  61. THE SECURITY ENHANCEMENT FEATURES OF THE PRODUCT DO NOT PROVIDE TOTAL PROTECTION
  62. AGAINST DAMAGING JAVA ROUTINES.

  64. 9. MISCELLANEOUS - This Agreement represents the complete agreement concerning this
  65. License between the parties and supersedes all prior agreements and representations
  66. between them. It may be amended only in writing, executed by both parties. If any
  67. provision of this agreement is held to be unenforceable for any reason, such provision
  68. shall be reformed only to the extent necessary to make it enforceable.

  70. NO WARRANTY
  71.  
  72. NO WARRANTIES - SOFTWARE IS PROVIDED "AS IS". FINJAN DOES NOT WARRANT THAT THE PRODUCT
  73. IS ERROR-FREE. ADDITIONALLY, FINJAN DISCLAIMS ALL WARRANTIES, EITHER EXPRESS OR
  74. IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
  75. PARTICULAR PURPOSE.

  77. NO LIABILITY FOR CONSEQUENTIAL DAMAGES - IN NO EVENT SHALL FINJAN OR ITS SUPPLIERS BE
  78. LIABLE FOR ANY CONSEQUENTIAL OR INDIRECT DAMAGES WHATSOEVER (INCLUDING, WITHOUT
  79. LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF
  80. BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY
  81. TO USE THIS FINJAN PRODUCT, EVEN IF FINJAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
  82. DAMAGES.

  84. Some jurisdictions do not allow the exclusion of implied warranties or limitations on
  85. how long an implied warranty may last, or the exclusion or limitation of incidental or
  86. consequential damages, so the above limitations or exclusions may not apply to you.
  87. This license gives you specific legal rights and you may also have other rights which
  88. vary from jurisdiction to jurisdiction.

  90. This Agreement is governed by the laws of the State of Israel. 
  91.

  104. DOCUMENT, CAREFULLY READ THE TERMS AND CONDITIONS OF THIS 
  105. AGREEMENT. BY CLICKING ON THE "YES" BUTTON, YOU ARE CONSENTING 
  106. TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT. IF YOU 
  107. DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, CLICK THE "NO"
  108. BUTTON AND DO NOT USE THE SOFTWARE.

  110. 1.      Finjan grants to you a non-exclusive, non-sublicensable, 
  111. license to use SurfinCheck 1.0, in binary executable form in binary
  112. executable form as per the conditions and limitations of this 
  113. License Agreement.

  115. 2.      GRANT OF LICENSE - This Finjan License Agreement ("License") 
  116. permits you to use one copy of SurfinCheck 1.0 ("SOFTWARE") 
  117. acquired with this License, which may serve as a server for up to 
  118. 10 computers (each, a "Seat").   A computer serves as a Seat when 
  119. it accesses or utilizes, directly or indirectly, the SOFTWARE.  
  120. Use of software or hardware which reduces the number of computers 
  121. directly accessing or utilizing the SOFTWARE (also know as 
  122. "pooling" or "multiplexing") will not reduce the number of Seats, 
  123. since each computer indirectly accessing or utilizing the 
  124. SOFTWARE is still considered a Seat.

  155. capabilities, functions, licensing terms, release dates, general 
  156. availability or other characteristics of the commercial release.

  158. 6.      TERM - You may terminate your License and this Agreement at 
  159. anytime by destroying all copies of the Product and Product 
  160. documentation.

  162. 7.      TERMINATION - This license will terminate automatically upon 
  163. the earlier of (i) thirty days from the day you accept the terms 
  164. of this license as aforesaid, or (ii) upon your failure to comply 
  165. with the limitations described above. On termination, you must 
  166. destroy all copies of the SOFTWARE.

  196. BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR 
  197. A PARTICULAR PURPOSE.

  199. NO LIABILITY FOR CONSEQUENTIAL DAMAGES  -  IN NO EVENT SHALL 
  200. FINJAN OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL OR 
  201. INDIRECT DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, 
  202. DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS 
  203. OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF 
  204. THE USE OF OR INABILITY TO USE THIS FINJAN PRODUCT, EVEN IF 
  205. FINJAN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
