  3.            qED END USER LICENSE AGREEMENT 
  4.  
  5.   PLEASE READ THE FOLLOWING SINGLE-USER LICENSE 
  6.   AGREEMENT CAREFULLY BEFORE USING "qED".  THIS IS 
  7.   A LEGAL AGREEMENT BETWEEN YOU, THE END USER, AND 
  8.   BARENTZ, LTD.  BY INSTALLING AND/OR USING "qED", 
  9.   YOU ARE AGREEING TO BE BOUND BY THE TERMS OF THIS 
  10.   AGREEMENT.  IF YOU DO NOT AGREE WITH THESE TERMS, 
  11.   DO NOT INSTALL AND/OR USE "qED".  THIS PRODUCT 
  12.   REQUIRES A REGISTERED VERSION OF QUAKE TO OPERATE 
  13.   PROPERLY.  IT WILL NOT OPERATE PROPERLY WITH THE 
  14.   SHAREWARE/LIMITED VERSION OF QUAKE. 
  15.  
  16.    Article 1 -- Grant Of License: 
  17.  
  18.   Barentz, Ltd. ("Barentz") grants you a non- 
  19.   exclusive license to use "qED" subject to the 
  20.   terms of this Agreement.  For the purposes 
  21.   herein, "qED" shall constitute all component 
  22.   parts that are distributed with "qED" including 
  23.   all program files, texture libraries and 
  24.   documentation (hereinafter "Software").  In 
  25.   addition, any and all files CREATED or MODIFIED 
  26.   by "qED" (including, but not limited to files 
  27.   such as *.QED, *.MAP, *.BSP, *.QBT, *.QET and 
  28.   *.QGP) will automatically become part of the 
  29.   licensed Software and subject to the terms and 
  30.   provisions of this Agreement.  The Software is 
  31.   licensed as a single product.  Its component 
  32.   parts may not be separated or distributed EXCEPT 
  33.   AS EXPRESSLY PROVIDED IN THIS AGREEMENT.  The 
  34.   Software is solely for your own personal use, on 
  35.   one computer at one time.  You may use this 
  36.   Software on a different computer, but it may not 
  37.   be used on two or more computers at the same 
  38.   time.  You may make a working copy of the 
  39.   Software and a backup copy for archival purposes 
  40.   only. 
  41.  
  42.    Article 2 -- Restrictions On Use: 
  43.  
  44.    . You may use and distribute FREE-OF-CHARGE the 
  45.      certain component files that are used by the 
  46.      Software to create and compile a level.  These 
  47.      files are: *.QED, *.QBT, *.QET and *.QGP.  You 
  48.      may also use and distribute FREE-OF-CHARGE 
  49.      level files that have been output by the 
  50.      Software (*.MAP and *.BSP).  You may NOT 
  51.      distribute any other files, including, but not 
  52.      limited to, any texture (*.WAD) files that are 
  53.      provided with the Software. 
  54.  
  55.    . You may NOT use the Software to create 
  56.      Derivative Works.  For the purposes herein, 
  57.      "Derivative Works" shall mean any "*.MAP" or 
  58.      "*.BSP" files, which were originally created 
  59.      by the Software from a "*.QED" source file, 
  60.      that you intend to sell, or distribute in some 
  61.      manner OTHER than FREE-OF-CHARGE.  If you wish 
  62.      to create Derivative Works, please contact 
  63.      Barentz about a "Commercial Exploitation 
  64.      Agreement". 
  65.  
  66.    . With the exception of *.QBT, *.QET and *.QGP 
  67.      files, whose file structure has already been 
  68.      published or made available to the general 
  69.      public, you may not reverse engineer, 
  70.      translate, port, modify, decompile, or 
  71.      disassemble the Software.  Furthermore, you 
  72.      shall not derive or attempt to derive the 
  73.      source code, source files or structure of all 
  74.      or any portion of the Software by reverse 
  75.      engineering, disassembly, decompilation or by 
  76.      any other means EXCEPT those files listed 
  77.      herein whose file structure has already been 
  78.      published or made available to the general 
  79.      public. 
  80.  
  81.    . You may not rent, publish, sell, lease, 
  82.      sublicense or market the Software or use it in 
  83.      any manner not expressly authorized by this 
  84.      Agreement. 
  85.  
  86.    . You may transfer the Software and accompanying 
  87.      written materials on a permanent basis 
  88.      provided you retain no copies and the 
  89.      recipient agrees to the terms of this 
  90.      Agreement. 
  91.  
  92.    . You shall not use the Software to operate a 
  93.      service bureau or for any other use involving 
  94.      the processing of data of any other persons or 
  95.      entities. 
  96.  
  97.    . You may not alter or remove any copyright 
  98.      notices or proprietary legends contained in, 
  99.      or on, the Software. 
  100.  
  101.    Article 3 -- Ownership, Copyrights & Trademarks: 
  102.  
  103.   Barentz is the exclusive licensee of the 
  104.   Software, which was created by Barentz's 
  105.   licensors, Matthew Tagliaferri and Worldwide 
  106.   MicroTronics, Inc. (collectively, the "Copyright 
  107.   Owners").  Barentz and Copyright Owners shall 
  108.   retain all ownership rights in the Software.  The 
  109.   Software is protected by United States Copyright 
  110.   law and also by International Treaty provisions. 
  111.   Any use of the Software in violation of these 
  112.   laws shall constitute a termination of this 
  113.   Agreement and can result in prosecution.  The 
  114.   Software is Copyright (c) 1996-97 by Matthew 
  115.   Tagliaferri.  Portions of the Software are 
  116.   Copyright (c) 1996-97 by Worldwide MicroTronics 
  117.   Inc.  UNPUBLISHED.  ALL RIGHTS RESERVED UNDER THE 
  118.   COPYRIGHT LAWS OF THE UNITED STATES AND 
  119.   INTERNATIONAL TREATY PROVISIONS.  "qED" is a 
  120.   trademark of Matthew Tagliaferri. 
  121.  
  122.    Article 4 -- Term: 
  123.  
  124.   This license is effective until terminated.  You 
  125.   may terminate it at any time by destroying the 
  126.   Software together with all copies and 
  127.   modifications in any form.  This License also 
  128.   terminates if you fail to comply with the terms 
  129.   and conditions of this Agreement. 
  130.  
  131.    Article 5 -- No Warranty: 
  132.  
  133.   BARENTZ MAKES AND USER RECEIVES NO WARRANTY, 
  134.   WHETHER EXPRESS OR IMPLIED,  AND ALL WARRANTIES 
  135.   OF MERCHANTABILITY AND FITNESS FOR ANY PARTICULAR 
  136.   PURPOSE ARE EXPRESSLY EXCLUDED.  The Software is 
  137.   provided to you on an "AS IS" and "WITH ALL 
  138.   FAULTS" basis.  You assume the entire risk of 
  139.   loss in using the Software.  The Software is 
  140.   complex and contains non-conformities, defects 
  141.   and errors.  Barentz does not warrant that the 
  142.   Software will meet your needs or expectations 
  143.   (whether due to hardware related capabilities or 
  144.   otherwise) or that operation of the Software will 
  145.   be error-free or uninterrupted, or that any non- 
  146.   conformity, defect or error can or will be 
  147.   corrected. 
  148.  
  149.    Article 6 -- Limitations On Liability & 
  150.    Remedies: 
  151.  
  152.   BARENTZ ASSUMES NO LIABILITY FOR ANY FILES 
  153.   CREATED, MODIFIED OR DISTRIBUTED UNDER THIS 
  154.   AGREEMENT, INCLUDING WITHOUT LIMITATION, 
  155.   LIABILITY FOR PATENT OR COPYRIGHT INFRINGEMENT. 
  156.   FURTHERMORE, IN NO EVENT SHALL BARENTZ, LTD. BE 
  157.   LIABLE FOR ANY DAMAGES, CLAIM OR LOSS INCURRED BY 
  158.   USER (INCLUDING WITHOUT LIMITATION COMPENSATORY, 
  159.   INCIDENTAL, INDIRECT, SPECIAL, CONSEQUENTIAL OR 
  160.   EXEMPLARY DAMAGES, LOST PROFITS, LOST SALES OR 
  161.   BUSINESS, EXPENDITURES, INVESTMENTS, OR 
  162.   COMMITMENTS IN CONNECTION WITH ANY BUSINESS, LOSS 
  163.   OF ANY GOODWILL, OR DAMAGES RESULTING FROM LOST 
  164.   OR CORRUPTED DATA OR INABILITY TO USE YOUR 
  165.   COMPUTER, OR THE USE OF OTHER PROGRAMS OR DATA ON 
  166.   YOUR COMPUTER, OR THE SOFTWARE) IRRESPECTIVE OF 
  167.   WHETHER BARENTZ, LTD. HAS BEEN INFORMED OF, KNEW 
  168.   OF, OR SHOULD HAVE KNOWN OF, THE LIKELIHOOD OF 
  169.   SUCH DAMAGES.  THIS LIMITATION APPLIES TO ALL 
  170.   CAUSES OF ACTION IN THE AGGREGATE, INCLUDING 
  171.   WITHOUT LIMITATION BREACH OF CONTRACT, BREACH OF 
  172.   WARRANTY, NEGLIGENCE, STRICT LIABILITY, 
  173.   MISREPRESENTATION, AND OTHER TORTS.  IF BARENTZ, 
  174.   LTD'S EXCLUSION OF ANY WARRANTY AND/OR LIMITATION 
  175.   OF LIABILITY SET FORTH IN THIS AGREEMENT SHALL 
  176.   FOR ANY REASON WHATSOEVER BE HELD UNENFORCEABLE 
  177.   OR INAPPLICABLE, USER AGREES THAT BARENTZ, LTD'S 
  178.   LIABILITY TO ANY PARTY SHALL NOT EXCEED THE 
  179.   PURCHASE PRICE OF THE SOFTWARE.  Some states do 
  180.   not allow the exclusion or limitation of 
  181.   incidental or consequential damages or the 
  182.   limitation of duration of an implied warranty, so 
  183.   the limitation or exclusion herein may not apply 
  184.   to you. 
  185.  
  186.    Article 7 -- General: 
  187.  
  188.    . This is the exclusive Agreement between 
  189.      Barentz and you regarding its subject matter. 
  190.      You shall pay any taxes on the Software or 
  191.      transactions, except for those based on 
  192.      Barentz's annual net income. 
  193.  
  194.    . Copyright Owners shall be third party 
  195.      beneficiaries of Barentz's rights under this 
  196.      Agreement, but they are not a party hereto and 
  197.      shall have no obligation hereunder. 
  198.  
  199.    . If any provision of this Agreement is declared 
  200.      invalid or unenforceable, the remaining 
  201.      provisions of this Agreement shall remain in 
  202.      effect. 
  203.  
  204.    . This Agreement supersedes and replaces any and all 
  205.      previous Agreements, whether written or oral, 
  206.      with you regarding the Software. 
  207.  
  208.    . This Agreement shall be governed by the laws 
  209.      of the State of Texas, except for that body of 
  210.      law dealing with conflicts of law. 
  211.  
  212.    COMMERCIAL COMPUTER SOFTWARE 
  213.  
  214.   The Software is a "commercial item", as that term 
  215.   is defined at 48 C.F.R. 2.101 (Oct. 1995) 
  216.   consisting of "commercial computer software" and 
  217.   "commercial computer documentation," as such 
  218.   terms are used in 48 C.F.R. 12.212 (Sept. 1995). 
  219.   Consistent with 48 C.F.R. 12.212 and 48 C.F.R. 
  220.   227.7202-1 through 227.7202-4 (June 1995), all 
  221.   U.S. Governmental End Users acquire the Software 
  222.   with only those license rights set forth herein. 
  223.   The Software is Copyright (c) 1996-97 by Matthew 
  224.   Tagliaferri.  Portions of the Software are 
  225.   Copyright (c) 1996-97 by Worldwide MicroTronics 
  226.   Inc.  UNPUBLISHED.  ALL RIGHTS RESERVED UNDER THE 
  227.   COPYRIGHT LAWS OF THE UNITED STATES AND 
  228.   INTERNATIONAL TREATY PROVISIONS.  qED is a 
  229.   trademark of Matthew Tagliaferri.  For purpose of 
  230.   any public disclosure provision under any 
  231.   federal, state or local law, it is agreed that 
  232.   this Software is a trade secret and proprietary 
  233.   commercial Software is not subject to disclosure.
