  2. WARRANTY DISCLAIMER

  6. Product, Version 5.1
  7.  
  8. IMPORTANT -- READ CAREFULLY:  This 
  9. RealNetworks License Agreement ("License 
  10. Agreement") is a legal agreement between 
  11. you (either an individual or an entity) 
  12. and RealNetworks, Inc. and its suppliers 
  13. and licensors (collectively "RN") for the 
  14. RealEncoder software product, which 
  15. includes computer software and associated 
  16. media and printed materials, whether 
  17. provided in physical form or received on-
  18. line in electronic form ("Software").  By 
  19. clicking on the "I Accept" button, 
  20. installing, copying or otherwise using 
  21. the Software, you agree to be bound by 
  22. the terms of this License Agreement.  If 
  23. you do not agree to the terms of this 
  24. License Agreement, click on the "I Do Not 
  25. Accept" button and do not install the 
  26. Software.

  29. This Software and the Documentation is 
  30. proprietary to RN, and is protected by 
  31. the copyright and other intellectual 
  32. property laws of the United States and 
  33. international treaties.  The Software is 
  34. licensed, not sold. 
  35.  
  36. 1.  GRANT OF LICENSE.   Subject to the 
  37. provisions contained in this License 
  38. Agreement, RN hereby grants you a non-
  39. exclusive, non-transferable, perpetual, 
  40. worldwide license to install and use the 
  41. Software according to the following terms 
  42. and conditions:
  43.  
  44. (a)    Installation/Use.  This License 
  45. permits you to install one copy of the on 
  46. a single computer containing one or more 
  47. central processing units ("CPU's").  You 
  48. may use your installed copy of the 
  49. Software to encode audio or video content 
  50. into RN's RealAudio(.ra) or RealVideo 
  51. (.rv) format ("Encoded Content"). If you 
  52. are not the owner of the copyrights in 
  53. the Encoded Content, you should obtain 
  54. all necessary rights and licenses from 
  55. the copyright owner to enable you to 
  56. encode and use such content.
  57.  
  58. (b)    HTTP Streaming/Trademark Usage.  
  59. This License also permits you to embed 
  60. Encoded Content into HTML web pages for 
  61. the purpose of streaming such Encoded 
  62. Content from an HTTP web server ("HTTP 
  63. Streaming"). If you make Encoded Content 
  64. available for HTTP Streaming, you agree 
  65. to notify web page visitors, in a 
  66. conspicuous manner, which files are 
  67. available in the RealAudio or RealVideo 
  68. format.   Further, if you embed Encoded 
  69. Content for HTTP Streaming, RN hereby 
  70. grants you a non-exclusive, limited 
  71. license to use, and you agree that you 
  72. shall always use, RN's trademarks in 
  73. accordance with RN's Trademark and Logo 
  74. Usage Policy at 
  75. http://www.real.com/corporate/logos/polic
  76. y.html., and for the sole purpose of 
  77. informing web page visitors that Encoded 
  78. Content is in RN's RealAudio or RealVideo 
  79. format.  You agree that you shall not use 
  80. any RN trademark in a way which may imply 
  81. that you are an agency or branch of RN.  
  82. You agree that you shall not use any RN 
  83. trademark in a way which may imply that 
  84. RN endorses, is affiliated with, or 
  85. sponsors you or your products without 
  86. RN's express written permission.  You 
  87. also agree that you may not link directly 
  88. to any media file or .ram file made 
  89. available from the RN website. 
  90.  
  91. (c)    Restrictions on Transfer.  Except 
  92. as otherwise expressly allowed under this 
  93. agreement, you shall not rent, lease, 
  94. sell, sublicense, assign, pledge, 
  95. encumber or otherwise transfer the 
  96. Software.  Any party authorized by RN to 
  97. use or receive the Software must agree to 
  98. be bound by, and you agree to inform all 
  99. users of the Software of, the terms and 
  100. conditions of this License Agreement  RN 
  101. reserves the right to withhold such 
  102. authorization for any reason.
  103.  
  104. 2.    OTHER RIGHTS AND LIMITATIONS. Dual-
  105. Media Software. If you receive the 
  106. Software in more than one medium (e.g., 
  107. by electronic distribution and on CD-
  108. ROM), regardless of the type or size of 
  109. medium you receive, you may use only one 
  110. medium that is appropriate for your 
  111. single computer.  You may not use or 
  112. install the other medium on another 
  113. computer.  You may not loan, rent, lease, 
  114. grant a security interest in, or 
  115. otherwise transfer the other medium to 
  116. another user. No Copying.  You may not 
  117. copy the Software or any accompanying 
  118. documentation, except that you may make a 
  119. single copy of the software for archival 
  120. purposes only, provided such copy must 
  121. contain all of the original Software's 
  122. proprietary notices. No Transmission Over 
  123. A Network.  Except as may be necessary to 
  124. receive your initial copy of the Software 
  125. from RN or an authorized distributor, you 
  126. man not transmit the Software over a 
  127. network, by telephone, or electronically 
  128. using any means.   No Modifications or 
  129. Reverse Engineering. You may not remove 
  130. any proprietary notices or labels from 
  131. the Software, and you may not modify, 
  132. translate, reverse engineer, decompile or 
  133. disassemble (except to the extent that 
  134. this restriction is expressly prohibited 
  135. by applicable law), or create derivative 
  136. works based on the Software.  
  137. Rental/Transfer.  You may not rent, 
  138. lease, sell or transfer the Software or 
  139. documentation without RN's express 
  140. written consent, which RN may withhold in 
  141. its discretion. Reservation of Rights.  
  142. All rights not expressly granted to you 
  143. are reserved to RN.
  144.  
  145. 3.  TITLE.  The Software is licensed, not 
  146. sold.  Title, ownership rights and 
  147. intellectual property rights in and to 
  148. the Software (including any images, 
  149. animations, video, audio, music, and text 
  150. incorporated into the Software), 
  151. accompanying printed materials, and any 
  152. copies you are expressly permitted to 
  153. make herein are owned by RN or its 
  154. suppliers and are protected by United 
  155. States copyright law and international 
  156. treaty provisions. You may not copy the 
  157. printed materials accompanying the 
  158. Software.
  159.  
  160. 4. DISCLAIMER OF WARRANTY. THE SOFTWARE 
  161. IS PROVIDED AS IS WITHOUT WARRANTY OF ANY 
  162. KIND.  TO THE MAXIMUM EXTENT PERMITTED BY 
  163. APPLICABLE LAW, RN FURTHER DISCLAIMS ALL 
  164. WARRANTIES, INCLUDING WITHOUT LIMITATION 
  165. ANY IMPLIED WARRANTIES OF 
  166. MERCHANTABILITY, FITNESS FOR A PARTICULAR 
  167. PURPOSE, AND NONINFRINGEMENT.  YOU ASSUME 
  168. THE ENTIRE RISK ARISING OUT OF THE USE OR 
  169. PERFORMANCE OF THE SOFTWARE AND 
  170. DOCUMENTATION.  SHOULD THE SOFTWARE PROVE 
  171. DEFECTIVE, YOU ASSUME THE ENTIRE COST OF 
  172. ALL NECESSARY REPAIR OR CORRECTION.  RN 
  173. SHALL NOT BE RESPONSIBLE FOR ANY DEFECT 
  174. THAT RESULTS FROM YOUR ABUSE, MISUSE OR 
  175. OTHER CONDUCT OR CONDITIONS OUTSIDE THE 
  176. CONTROL OF RN.  RN MAKES NO 
  177. REPRESENTATION OR WARRANTY THAT THE 
  178. INFORMATION OR FUNCTIONS CONTAINED IN THE 
  179. SOFTWARE WILL MEET YOUR REQUIREMENTS OR 
  180. THAT THE OPERATION OF THE SOFTWARE WILL 
  181. BE UNINTERRUPTED, ERROR-FREE OR SECURE, 
  182. OR THAT ANY SOFTWARE DEFECTS ARE 
  183. CORRECTABLE OR WILL BE CORRECTED.  IN 
  184. ADDITION, ANY SECURITY MECHANISMS 
  185. IMPLEMENTED BY THE SOFTWARE HAVE INHERENT 
  186. LIMITATIONS, AND YOU MUST DETERMINE THAT 
  187. THE SOFTWARE SUFFICIENTLY MEETS YOUR 
  188. REQUIREMENTS.  
  189.  
  190. 5.  LIMITATION OF LIABILITY.  UNDER NO 
  191. CIRCUMSTANCES AND UNDER NO LEGAL THEORY, 
  192. WHETHER IN TORT, CONTRACT OR OTHERWISE, 
  193. SHALL RN OR ITS SUPPLIERS OR RESELLERS BE 
  194. LIABLE TO YOU OR ANY OTHER PERSON FOR ANY 
  195. INDIRECT, SPECIAL, INCIDENTAL, OR 
  196. CONSEQUENTIAL DAMAGES OF ANY CHARACTER 
  197. ARISING OUT OF THE USE OF OR  INABILITY 
  198. TO USE THE SOFTWARE, THE DOCUMENTATION OR 
  199. ANY OTHER ACCOMPANYING MATERIALS, 
  200. INCLUDING, WITHOUT LIMITATION, DAMAGES 
  201. FOR LOSS OF GOODWILL, WORK STOPPAGE, 
  202. COMPUTER FAILURE OR MALFUNCTION, OR ANY 
  203. AND ALL OTHER COMMERCIAL DAMAGES OR 
  204. LOSSES, ARISING OUT OF THE USE OF OR 
  205. INABILITY TO USE THE SOFTWARE, EVEN IF RN 
  206. HAS BEEN INFORMED OF THE POSSIBILITY OF 
  207. SUCH DAMAGES, OR FOR ANY CLAIM BY ANY 
  208. OTHER PARTY.  FURTHER, IN NO EVENT SHALL 
  209. RN'S LIABILITY UNDER ANY PROVISION OF 
  210. THIS AGREEMENT EXCEED THE LICENSE FEE 
  211. PAID TO RN FOR THE SOFTWARE.  BECAUSE 
  212. SOME STATES/JURISDICTIONS DO NOT ALLOW 
  213. THE EXCLUSION OR LIMITATION OF LIABILITY 
  214. FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, 
  215. THE ABOVE LIMITATION MAY NOT APPLY TO 
  216. YOU.
  217.  
  218. 6.  INDEMNIFICATION. You agree to hold 
  219. harmless, indemnify and defend RN, its 
  220. officers, directors and employees, from 
  221. and against any losses, damages, fines 
  222. and expenses (including attorneys' fees 
  223. and costs) arising out of or relating to 
  224. any claims that you have encoded, copied, 
  225. enabled the "Selective Record" feature, 
  226. enabled the "Mobile Playback" feature, or 
  227. copied, used, published, displayed, or 
  228. transmitted any content or materials 
  229. (other than materials provided by RN) in 
  230. connection with the Software in violation 
  231. of another party's rights.  If you are 
  232. importing the Software from the United 
  233. States, you agree to indemnify and hold 
  234. RN harmless from and against any import 
  235. and export duties or other claims arising 
  236. from such importation.
  237.  
  238. 7. TERMINATION. This License Agreement is 
  239. effective until terminated.  You may 
  240. terminate this License Agreement at any 
  241. time by destroying all copies of the 
  242. Software in your possessions or by 
  243. returning all such copies to RN.  This 
  244. License Agreement and your right to use 
  245. this Software automatically terminate if 
  246. you fail to comply with any material 
  247. provision of this License Agreement.  
  248. Upon termination, you must stop all use 
  249. of the Software and must destroy any 
  250. copies that remain in your possession.  
  251. Otherwise, the restrictions on your 
  252. rights to use the Software will end upon 
  253. expiration of the copyright to the 
  254. Software.
  255.  
  256. 8.  MISCELLANEOUS.  This License 
  257. Agreement shall constitute the complete 
  258. and exclusive agreement between us. This 
  259. License Agreement may not be modified 
  260. except in a writing duly signed by an 
  261. authorized representative of RN and you.  
  262. If any provision of this License 
  263. Agreement is held to be unenforceable for 
  264. any reason, such provision shall be 
  265. reformed only to the extent necessary to 
  266. make it enforceable, and such decision 
  267. shall not affect the enforceability of 
  268. such provision under other circumstances, 
  269. or of the remaining provisions hereof 
  270. under all circumstances.  This License 
  271. Agreement shall be governed by the laws 
  272. of the State of Washington without regard 
  273. to conflicts of law provisions and you 
  274. consent to the exclusive jurisdiction of 
  275. the state and federal courts sitting in 
  276. the State of Washington. Any and all 
  277. unresolved disputes arising under this 
  278. License Agreement shall be submitted to 
  279. arbitration in the State of Washington.  
  280. The arbitration shall be conducted under 
  281. the rules then prevailing of the American 
  282. Arbitration Association.  The award of 
  283. the arbitrator shall be binding and may 
  284. be entered  as a judgment in any court of 
  285. competent jurisdiction. This License 
  286. Agreement will not be governed by the 
  287. United Nations Convention of Contracts 
  288. for the International Sale of Goods, the 
  289. application of which is hereby expressly 
  290. excluded.

  292. 9.  U.S. GOVERNMENT RESTRICTED RIGHTS.  
  293. This Software and documentation are 
  294. provided with RESTRICTED RIGHTS.  Use, 
  295. duplication or disclosure by the 
  296. Government is subject to restrictions set 
  297. forth in subparagraphs (a) through (d) of 
  298. the Commercial Computer Software--
  299. Restricted Rights at FAR 52.227-19 when 
  300. applicable, or in subparagraph (c)(1)(ii) 
  301. of the Rights in Technical Data and 
  302. Computer Software clause at DFARS 
  303. 252.227-7013, and in similar clauses in 
  304. the NASA FAR supplement, as applicable.  
  305. Manufacturer is RealNetworks, Inc./1111 
  306. Third Avenue, Suite 2900/ Seattle, 
  307. Washington, 98101.  You acknowledges that 
  308. none of the Software or underlying 
  309. information or technology may be download 
  310. or otherwise exported or re-exported (i) 
  311. into (or to a national or resident of) 
  312. Cuba, Iran, Iraq, Libya,  North Korea, 
  313. Syria, Sudan or Angola or any other 
  314. country to which the U.S. has embargoed 
  315. goods; or (ii) to anyone on the U.S. 
  316. Treasury Department's list of Specially 
  317. Designated Nationals or the U.S. Commerce 
  318. Department's Table of Denial Orders. By 
  319. using the Software you are agreeing to 
  320. the foregoing and are representing and 
  321. warranting that you are not located in 
  322. under the control of a national or 
  323. resident or resident of any such country 
  324. or on any such list.
