  1. REALNETWORKS LICENSE AGREEMENT 
  2. AND WARRANTY DISCLAIMER 
  3.  
  4. REDISTRIBUTION OF SOFTWARE 
  5. NOT PERMITTED
  6.  
  7. License for RealNetworks, Inc.'s RealPlayer Product
  8.  
  9. IMPORTANT -- READ CAREFULLY: By clicking on 
  10. the "Accept" button or by opening the sealed package(s) 
  11. containing the RealPlayer ("Software"), You agree to be 
  12. and are hereby bound by the terms of this License 
  13. Agreement ("Agreement"). If you do not agree to the 
  14. terms of this Agreement, you must promptly destroy all 
  15. copies of the Software and accompanying 
  16. documentation ("Documentation"). 
  17.  
  18. I. GRANT OF LICENSE: 
  19.  
  20. RealNetworks, Inc. and its suppliers and licensors 
  21. ("RN") hereby grant you a non-exclusive license to use 
  22. the Software and Documentation subject to the 
  23. following terms: 
  24.  
  25. You may: (i) use the Software on any single computer; 
  26. (ii) use the Software on a second computer so long as 
  27. the first and second computers are not used 
  28. simultaneously; and (iii) copy the Software for back-up, 
  29. archival purposes provided any copy must contain all of 
  30. the original Software's proprietary notices. 
  31.  
  32. You may not: (i) permit other individuals to use the 
  33. Software except under the terms listed above; (ii) 
  34. modify, translate, reverse engineer, decompile, 
  35. disassemble (except to the extent that this restriction is 
  36. expressly prohibited by law) or create derivative works 
  37. based upon the Software or Documentation; (iii) copy 
  38. the Software or Documentation (except for back-up 
  39. purposes); (iv) resell, rent, lease, transfer, or otherwise 
  40. transfer rights to the Software or Documentation; or (v) 
  41. remove any proprietary notices or labels on the 
  42. Software or Documentation. 
  43.  
  44. The Software includes certain plug-in components, 
  45. including, but not limited to, an Active X Control, Java 
  46. plug-in, and RA XTRA plug-in (collectively "Plug-Ins"). 
  47. You may install and use Plug-Ins solely as part of, and 
  48. in conjunction with, HTML in a web browser.  You may 
  49. not use Plug-Ins in any other manner, including using 
  50. Plug-Ins with any container application that is not a web 
  51. browser. If you wish to use Plug-Ins in any way not 
  52. specifically authorized in this section you must contact 
  53. supportsdk@real.com for a separate license.

  55. II.  SOFTWARE: 
  56.  
  57. If you receive the first copy of the Software 
  58. electronically and a second copy on media the second 
  59. copy may be used for archival purposes only and may 
  60. not be transferred to or used by any other person.  This 
  61. license does not grant you any right to any enhancement 
  62. or update. 
  63.  
  64. III. TITLE: 
  65.  
  66. Title, ownership, rights, and intellectual property rights 
  67. in and to the Software and Documentation shall remain 
  68. in RN and/or its suppliers. The Software is protected by 
  69. the copyright laws of the United States and international 
  70. copyright treaties.  Title, ownership rights and 
  71. intellectual property rights in and to the content 
  72. accessed through the Software including any content 
  73. contained in the Software media demonstration files is 
  74. the property of the applicable content owner and may be 
  75. protected by applicable copyright or other law. This 
  76. license gives you no rights to such content. 
  77.  
  78. IV. DISCLAIMER OF WARRANTY: 
  79.  
  80. THE SOFTWARE AND DOCUMENTATION ARE 
  81. PROVIDED AS IS WITHOUT WARRANTY OF 
  82. ANY KIND.  TO THE MAXIMUM EXTENT 
  83. PERMITTED BY APPLICABLE LAW, 
  84. REALNETWORKS FURTHER DISCLAIMS ALL 
  85. WARRANTIES, INCLUDING WITHOUT 
  86. LIMITATION ANY IMPLIED WARRANTIES OF 
  87. MERCHANTABILITY, FITNESS FOR A 
  88. PARTICULAR PURPOSE, AND 
  89. NONINFRINGEMENT. THE ENTIRE RISK 
  90. ARISING OUT OF THE USE OR PERFORMANCE 
  91. OF THE SOFTWARE AND DOCUMENTATION 
  92. REMAINS WITH YOU. TO THE MAXIMUM 
  93. EXTENT PERMITTED BY APPLICABLE LAW, IN 
  94. NO EVENT SHALL REALNETWORKS OR ITS 
  95. SUPPLIERS BE LIABLE FOR ANY 
  96. CONSEQUENTIAL, INCIDENTAL, DIRECT, 
  97. INDIRECT, SPECIAL, PUNITIVE, OR OTHER 
  98. DAMAGES WHATSOEVER (INCLUDING, 
  99. WITHOUT LIMITATION, DAMAGES FOR LOSS 
  100. OF BUSINESS PROFITS, BUSINESS 
  101. INTERRUPTION, LOSS OF BUSINESS 
  102. INFORMATION, OR OTHER PECUNIARY LOSS) 
  103. ARISING OUT OF THIS AGREEMENT OR THE 
  104. USE OF OR INABILITY TO USE THE PRODUCT, 
  105. EVEN IF REALNETWORKS HAS BEEN ADVISED 
  106. OF THE POSSIBILITY OF SUCH DAMAGES. 
  107. BECAUSE SOME STATES/JURISDICTIONS DO 
  108. NOT ALLOW THE EXCLUSION OR LIMITATION 
  109. OF LIABILITY FOR CONSEQUENTIAL OR 
  110. INCIDENTAL DAMAGES, THE ABOVE 
  111. LIMITATION MAY NOT APPLY TO YOU.
  112.  
  113. V. TERMINATION: 
  114.  
  115. This license shall terminate automatically if you fail to 
  116. comply with the limitations described in this Agreement.  
  117. No notice shall be required from RN to effectuate such 
  118. termination.  On termination you must destroy all copies 
  119. of the Software and Documentation. 
  120.  
  121. VI. U.S. GOVERNMENT RESTRICTED RIGHTS 
  122. AND EXPORT RESTRICTIONS: 
  123.  
  124. The Software is provided with RESTRICTED 
  125. RIGHTS. Use, duplication, or disclosure by the 
  126. Government is subject to restrictions as set forth in 
  127. subparagraph (c)(1)(ii) of The Rights in Technical Data 
  128. and Computer Software clause of DFARS 252.227-
  129. 7013 or subparagraphs (c)(i) and (2) of the Commercial 
  130. Computer Software-Restricted Rights at 48 CFR 
  131. 52.227-19, as applicable. Manufacturer is 
  132. RealNetworks, 1111 Third Avenue, Suite 2900, Seattle, 
  133. Washington 98101. You acknowledge that none of the 
  134. Software or underlying information or technology may 
  135. be downloaded or otherwise exported or re-exported 
  136. into (or to a national or resident of) Angola, Cuba, Iran, 
  137. Iraq, Libya, North Korea, Sudan, Syria, or any other 
  138. country to which the U.S. has embargoed goods; or 
  139. anyone on the U.S. Treasury Department's list of 
  140. Specially Designated Nationals or the U.S. Commerce 
  141. Department's Table of Denial Orders.  By using the 
  142. Software, you are agreeing to the foregoing, and are 
  143. representing and warranting that you are not located in 
  144. or under the control of a national or resident of any such 
  145. country or on any such list. 
  146.  
  147. VII. GOVERNING LAW: 
  148.  
  149. This License Agreement shall be governed by the laws 
  150. of the State of Washington, without regard to conflicts 
  151. of law provisions, and you consent to the exclusive 
  152. jurisdiction of the state and federal courts sitting in the 
  153. State of Washington. Any and all unresolved disputes 
  154. arising under this Agreement shall be submitted to 
  155. arbitration in the State of Washington.  The arbitration 
  156. shall be conducted under the rules then prevailing of the 
  157. American Arbitration Association.  The award of the 
  158. arbitrator shall be binding and may be entered as a 
  159. judgment in any court of competent jurisdiction. This 
  160. License Agreement will not be governed by the United 
  161. Nations Convention of Contracts for the International 
  162. Sale of Goods, the application of which is hereby 
  163. expressly excluded.

  165. VIII. ENTIRE AGREEMENT: 
  166.  
  167. This Agreement constitutes the complete and exclusive 
  168. agreement between RN and you with respect to the 
  169. subject matter hereof and supersedes all prior oral or 
  170. written understandings, communications or agreements 
  171. not specifically incorporated herein.  This Agreement 
  172. may not be modified except in a writing duly signed by 
  173. an authorized representative of RN and you.
