  9.                 L I C E N S E  and   A G R E E M E N T

  11.      THECALL is not public domain software, nor is it free software.
  12.  
  13.      THECALL is copyright (C) 1995 by Pathways Data Systems.
  14.  
  15.      Non-registered users of THECALL are granted a limited license to use
  16.      THECALL on a trial basis for a period of 30 days for the purpose of
  17.      determining whether THECALL is suitable for their needs.  Use of
  18.      THECALL, except for this limited purpose, requires registration. 
  19.  
  20.      All users are granted a limited license to copy THECALL only for the
  21.      trial use of others subject to the above limitations, and also the
  22.      following:
  23.  
  24.           THECALL must be copied in unmodified form, complete
  25.           with the file containing license and ordering information.
  26.  
  27.           The full THECALL documentation must be included with
  28.           the copy.
  29.  
  30.           No fee, charge or other compensation may be accepted or
  31.           requested by any licensee.
  32.  
  33.           THECALL may not be distributed in conjunction with any
  34.           other product.
  35.  
  36.      Operators of electronic bulletin board systems (Sysops) may post
  37.      THECALL for downloading by their users only as long as the above
  38.      conditions are met.

  40.      Distributors of public domain or user supported software may
  41.      distribute copies of THECALL subject to the above conditions.

  43.      Concerning registered versions of THECALL, the Purchaser agrees to
  44.      the following conditions:

  46. 1. Purchaser agrees as follows:

  48.    This license does not allow use of any of PATHWAYS' Intellectual
  49.    Property Rights other than as expressly set forth herein and in no
  50.    way confers any title ownership in PATHWAYS Intellectual Property
  51.    Rights.

  53.    THECALL software contains copyrighted material, trade secrets
  54.    and other proprietary matter which shall not be divulged or pirated.

  57. 2. THECALL is LICENSED as follows:
  58.  
  59.    - Registration grants the purchaser the right to use THECALL only on
  60.      a single computer; a registered user may use the program on a
  61.      different computer, but may not use the program on more than one
  62.      computer at the same time.
  63.  
  64.    - Purchaser may make reasonable backups of THECALL program and
  65.      their configuration files for all machines in the network.
  66.  
  67.    - Purchaser must not distribute backup media bearing THECALL software
  68.      to anyone else.

  70.  
  71. 3. Purchaser MUST NOT:
  72.  
  73.    - Distribute any registered copies of THECALL to anyone for any
  74.      purpose.

  76.    - Allow any registered copies of THECALL to be downloaded, inspected,
  77.      modified, or copied.

  79.    - Translate, reverse engineer, decompile, modify, subdivide, sublicense,
  80.      disassemble or create derivative works of THECALL.

  82.    - Rent, lease, or loan the software to anyone else.
  83.  
  84.  
  85. 4. Your right to use the THECALL software will terminate without
  86.    notice if you fail to comply with any provision of this License.

  89. 5. If for any reason a Court renders any provision of this License,
  90.    or any portion thereof, void or voidable, the remainder of this
  91.    License will continue in full force and effect.
  92.

  94. 6. This License constitutes the entire agreement between the parties
  95.    with respect to THECALL software and related documentation,
  96.    and supersedes any prior or contemporaneous understandings or
  97.    agreements. No amendment or modification of the License shall be
  98.    effective unless it is in writing, signed by the Purchaser and
  99.    an officer of PathWays Data Systems.

  110.                TRIAL USE (SHAREWARE EVALUATION VERSION) WARRANTY:

  112.        The Shareware evaluation (trial use) version is provided AS IS.
  113.        Pathways Data Systems MAKES NO WARRANTY OF ANY KIND, EXPRESSED OR
  114.        IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES OF
  115.        MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR PURPOSE.

  118.                        REGISTERED VERSION ONLY WARRANTY:

  120.        Pathways Data Systems warrants the physical diskette(s) provided
  121.        with registered versions to be free of defects in materials and
  122.        workmanship for a period of sixty days from the date of
  123.        registration.  If Pathways Data Systems receives notification
  124.        within the warranty period of defects in materials or
  125.        workmanship, and such notification is determined by Pathways Data
  126.        Systems to be correct, Pathways Data Systems will replace the
  127.        defective diskette(s).
  128.  
  129.        The entire and exclusive liability and remedy for breach of this
  130.        Limited Warranty shall be limited to replacement of defective
  131.        diskette(s) and shall not include or extend to any claim for or
  132.        right to recover any other damages, including but not limited to,
  133.        loss of profit, data, or use of the software, or special,
  134.        incidental, or consequential damages or other similar  claims,
  135.        even if Pathways Data Systems has been specifically advised of
  136.        the possibility of such damages.  In no event will Pathways Data
  137.        Systems' liability for any damages to you or any other person
  138.        ever exceed the lower of suggested list price or actual price
  139.        paid for the license to use the software, regardless of any form
  140.        of the claim.

  142.        Pathways Data Systems SPECIFICALLY DISCLAIMS ALL OTHER
  143.        WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, ANY
  144.        IMPLIED WARRANTY OF MERCHANTABILITY AND/OR FITNESS FOR A
  145.        PARTICULAR PURPOSE.
