  11. GRANT: Walter E. Heindl ("Licensor") hereby grants you a limited, nontransferable,
  12. terminable, non-exclusive license subject to the following to use its accompanying
  13. computer software product known as LOCK & KEY ("Software") for individual use
  14. only on a Personal Computer described below.  You may place the Software on 
  15. networks and online systems exclusively for the purpose of allowing downloading 
  16. and copying of the Software for archival, distribution and installation purposes (but 
  17. not for purposes of execution by the network or online system) provided any such 
  18. copy must contain all of the original Software and text files including this License 
  19. Agreement and any proprietary, license and copyright notices on the original.  This 
  20. License Agreement only applies to the Software described above and does not 
  21. grant any rights to any other software.

  23. You may use the Software only on a single user Personal Computer that operates 
  24. only the Microsoft DOS and Windows operating system, and does not act as a 
  25. server on any network (including a local area network, wide area network or 
  26. Internet) or otherwise allow operation of the Software from a remote or separate 
  27. computer or terminal ("Personal Computer").  For the  avoidance of doubt, and 
  28. without limitation of the foregoing, "Personal Computer" does not include game 
  29. players, television set-top boxes or so-called "Internet Appliances."

  31. You may not permit other individuals to use, operate or copy the Software (except 
  32. as permitted above).  You may not use or allow the use of the Software on any 
  33. computer or other device that is not a Personal Computer (as defined above).  You 
  34. may not modify, translate, reverse engineer, decompile, disassemble, (except to 
  35. the extent applicable laws prohibit such restriction), or create derivative works 
  36. based on the Software, copy the Software (except as specified above), rent, lease, 
  37. transfer, license or otherwise transfer rights to the Software, or remove any 
  38. proprietary notices, licenses, displays, installation procedures or labels on or in 
  39. the Software, whether set forth in text files or on media.

  41. DISCLAIMER OF WARRANTY: THE SOFTWARE IS LICENSED ON AN AS-IS 
  42. BASIS, WITHOUT WARRANTY OR CONDITION OF ANY KIND AND LICENSOR 
  43. DISCLAIMS ALL WARRANTIES AND CONDITIONS, INCLUDING WITHOUT 
  44. LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR 
  45. A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.  The entire risk as to the 
  46. quality and performance of the Software is borne by you.  Should the Software 
  47. prove defective, you and not Licensor assume the entire cost of any service and 
  48. repair.

  50. This Disclaimer of Warranty constitutes an essential part of the License 
  51. Agreement.  SOME STATES DO NOT ALLOW EXCLUSIONS OF AN IMPLIED 
  52. WARRANTY,  SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY 
  53. HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO STATE OR BY 
  54. JURISDICTION.

  56. LIMITATION OF LIABILITY: UNDER NO CIRCUMSTANCES AND UNDER NO 
  57. LEGAL THEORY, WHETHER TORT, CONTRACT, OR OTHERWISE, SHALL 
  58. LICENSOR OR ITS SUPPLIERS, LICENSORS OR RESELLERS BE LIABLE TO 
  59. YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR 
  60. CONSEQUENTIAL DAMAGES OF ANY TYPE INCLUDING, WITHOUT LIMITATION, 
  61. DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE 
  62. OR MALFUNCTION, LOSS OF DATA, OR ANY AND ALL OTHER COMMERCIAL 
  63. DAMAGES OR LOSSES.  IN NO EVENT WILL LICENSOR BE LIABLE FOR ANY 
  64. DAMAGES IN EXCESS OF LICENSOR'S LIST PRICE LICENSEE FEE FOR THE 
  65. SOFTWARE, IF ANY, EVEN IF LICENSOR SHALL HAVE BEEN INFORMED OF THE 
  66. POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.  
  67. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF 
  68. INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND 
  69. EXCLUSION MAY NOT APPLY TO YOU.

  71. TITLE:    Title, ownership rights, and intellectual property rights in and to the 
  72. Software shall remain in Licensor and/or its licensors or suppliers.  The Software 
  73. is protected by copyright laws of the United States and international copyright 
  74. treaties.  You are permitted to use only one copy of the Software, even if you 
  75. receive multiple copies, whether via download or on magnetic media.  Title, 
  76. ownership rights, and intellectual property rights in and to the content accessed 
  77. through the  Software is the property of the applicable content owner, and may be 
  78. protected by copyright or other applicable law.  This License gives you no rights to 
  79. such content.

  81. TERMINATION:    This License will terminate automatically if you fail to comply with 
  82. the limitations described above.  On termination, you must destroy all copies of the 
  83. Software and documentation.
  84.  
  85. MISCELLANEOUS:   This Agreement represents the complete agreement 
  86. concerning this license between the parties and supersedes all prior agreements 
  87. and representations  between the parties.  This  Agreement may be amended only 
  88. by a writing executed by both parties.  THE ACCEPTANCE OF ANY PURCHASE 
  89. ORDER PLACED BY YOU IS EXPRESSLY MADE  CONDITIONAL  ON YOUR 
  90. ASSENT TO THE TERMS SET FORTH HEREIN, AND NOT THOSE CONTAINED IN 
  91. YOUR PURCHASE ORDER.

  93. If any provision of this Agreement is  held to be unenforceable for any reason, such 
  94. provision shall be reformed only to the extent  necessary to make it enforceable.  
  95. This Agreement shall be governed by and construed under Pennsylvania 
  96. substantive law as such applies to agreements between Pennsylvania residents 
  97. entered into and performed within Pennsylvania, except as governed by United 
  98. States Federal law.  You consent to the jurisdiction of the state and federal courts 
  99. in the State of Pennsylvania, U.S.A. The application of the United Nations 
  100. Convention on Contracts for the International Sale of Goods is expressly excluded.
