  1. RealAudio Player License Agreement

  3.                     LICENSE AGREEMENT FOR THE REALAUDIO PLAYER
  4.  
  5. Use of the RealAudio Player is contingent on your (hereinafter
  6. "Recipient") agreement to the following terms:
  7.  
  8. 1. GRANT OF LICENSE.
  9.  
  10. Progressive Networks, (PN) grants to Recipient a limited,
  11. non-exclusive, nontransferable, royalty-free license to use one copy
  12. of the executable code of the Product software on a single CPU
  13. residing on Recipient's premises. All other rights are reserved to PN.
  14. Recipient shall not rent, lease, sell, sublicense, assign, or
  15. otherwise transfer the Product, including any accompanying printed
  16. materials. Recipient may not reverse engineer, decompile or
  17. disassemble the Product except to the extent that this restriction is
  18. expressly prohibited by applicable law. PN and its suppliers shall
  19. retain title and all ownership rights to the Product.
  20.  
  21. 2. PRODUCT MAINTENANCE.
  22.  
  23. PN is not obligated to provide maintenance or updates to Recipient for
  24. the Product. However, any maintenance or updates provided by PN shall
  25. be covered by this Agreement.
  26.  
  27. 3. DISCLAIMER OF WARRANTY.
  28.  
  29. Product is deemed accepted by Recipient. The PRODUCT is provided AS IS
  30. WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY
  31. APPLICABLE LAW, PROGRESSIVE NETWORKS FURTHER DISCLAIMS ALL WARRANTIES,
  32. INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF
  33. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
  34. NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF THE USE OR PERFORMANCE
  35. OF THE PRODUCT AND DOCUMENTATION REMAINS WITH RECIPIENT. TO THE
  36. MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL
  37. PROGRESSIVE NETWORKS OR ITS SUPPLIERS BE LIABLE FOR ANY CONSEQUENTIAL,
  38. INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES
  39. WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
  40. BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION,
  41. OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS AGREEMENT OR THE USE OF
  42. OR INABILITY TO USE THE PRODUCT, EVEN IF PROGRESSIVE NETWORKS HAS BEEN
  43. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME
  44. STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF
  45. LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE
  46. LIMITATION MAY NOT APPLY TO RECIPIENT.

  48. 4. U.S. GOVERNMENT RESTRICTED RIGHTS AND EXPORT RESTRICTIONS.
  49.  
  50. The Product is provided with RESTRICTED RIGHTS. Use, duplication, or
  51. disclosure by the Government is subject to restrictions as set forth
  52. in subparagraph (c)(1)(ii) of The Rights in Technical Data and
  53. Computer Software clause of DFARS 252.227-7013 or subparagraphs (c)(i)
  54. and (2) of the Commercial Computer Software-Restricted Rights at 48
  55. CFR 52.227-19, as applicable. Manufacturer is Progressive Networks,
  56. 616 First Avenue, Suite 701, Seattle, Washington 98104-2258. Recipient
  57. acknowledges that the Product licensed hereunder is subject to the
  58. export control laws and regulations of the U.S.A., and any amendments
  59. thereof. Recipient confirms that with respect to the Product, it will
  60. not export or re-export it, directly or indirectly, either to (i) any
  61. countries that are subject to U.S.A. export restrictions (currently
  62. including, but not necessarily limited to, Cuba, the Federal Republic
  63. of Yugoslavia (Serbia and Montenegro), Haiti, Iran, Iraq, Libya, North
  64. Korea, South Africa (military and police entities), and Syria); (ii)
  65. any end user who Recipient knows or has reason to know will utilize
  66. them in the design, development or production of nuclear, chemical or
  67. biological weapons; or (iii) any end user who has been prohibited from
  68. participating in the U.S.A. transactions by any federal agency of the
  69. U.S.A. government.  Recipient further acknowledges that the Product
  70. may include technical data subject to export and re-export
  71. restrictions imposed by U.S.A. law.
  72.  
  73. 5. GOVERNING LAW; ATTORNEYS FEES.
  74.  
  75. This Agreement shall be governed by the laws of the State of
  76. Washington and Recipient further consents to jurisdiction by the state
  77. and federal courts sitting in the State of Washington. If either PN or
  78. Recipient employs attorneys to enforce any rights arising out of or
  79. relating to this Agreement, the prevailing party shall be entitled to
  80. recover reasonable attorneys' fees.

  82. 6. ENTIRE AGREEMENT.
  83.  
  84. This Agreement constitutes the complete and exclusive agreement
  85. between PN and Recipient with respect to the subject matter hereof,
  86. and supersedes all prior oral or written understandings,
  87. communications or agreements not specifically incorporated herein.
  88. This Agreement may not be modified except in a writing duly signed by
  89. an authorized representative of PN and Recipient.
