  2. NETMECH END USER LICENSE AGREEMENT
  3.  
  4. GRANT.  Activision, Inc. ("Activision") hereby grants you a non-exclusive
  5. license to use its accompanying software product ("Software"),
  6. provided that you may not:
  7.  
  8. (a)  modify, translate, reverse engineer, decompile, disassemble
  9.      (except to the extent applicable laws specifically prohibit such
  10.      restriction), or create derivative works based on the Software;
  11. (b)  copy the Software (except for back-up purposes);
  12. (c)  rent, lease, transfer or otherwise transfer rights to the
  13.      Software;
  14. (d)  or remove any proprietary notices or labels on the Software.
  15.  
  16. SOFTWARE.  If you receive your first copy of the Software
  17. electronically, and a second copy on media, the second copy may be
  18. used for archival purposes only.  This license does not grant you any
  19. right to any enhancement or update.
  20.  
  21. TITLE.  Title, ownership rights, and intellectual property rights in
  22. and to the Software shall remain in Activision and/or its licensors.
  23. The Software is protected by the copyright laws of the United States
  24. and international copyright treaties.  Title, ownership rights, and
  25. intellectual property rights in and to the content accessed through
  26. the Software is the property of the applicable content owner and may
  27. be protected by applicable copyright or other law.  This License gives
  28. you no rights to such content.
  29.  
  30. DISCLAIMER OF WARRANTY. Since the Software is provided free of charge,
  31. the Software is provided on an "AS IS" basis, without warranty of any
  32. kind, including without limitation the warranties of merchantability,
  33. fitness for a particular purpose and non-infringement.  The entire
  34. risk as to the quality and performance of the Software is borne by
  35. you.  Should the Software prove defective, you and not Activision,
  36. assume the entire cost of any service and repair.  In addition, the
  37. security mechanism implemented by the Software has inherent
  38. limitations, and you must determine that the software sufficiently
  39. meets your requirements.  This disclaimer of warranty constitutes an
  40. essential part of this license agreement.  SOME STATES DO NOT ALLOW
  41. EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY
  42. TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO
  43. STATE OR BY JURISDICTION.

  45. LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL
  46. THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL ACTIVISION OR ITS
  47. LICENSORS OR SUPPLIERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY
  48. INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND
  49. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK
  50. STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
  51. COMMERCIAL DAMAGES OR LOSSES.  IN NO EVENT WILL ANY SUCH PARTY BE
  52. LIABLE TO YOU FOR ANY DAMAGES IN EXCESS OF ACTIVISION'S LIST PRICE
  53. FOR A LICENSE TO THE SOFTWARE, EVEN IF ACTIVISION SHALL HAVE BEEN
  54. INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY
  55. OTHER PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO
  56. LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW
  57. PROHIBITS SUCH LIMITATION.
  58.  
  59. TERMINATION.  This license will terminate automatically if you fail
  60. to comply with the limitations described above.  On termination, you
  61. must destroy all copies of the Software.
  62.  
  63. EXPORT CONTROLS.  None of the Software or underlying information or
  64. technology may be downloaded or otherwise exported or reexported (i)
  65. into (or to a national or resident of) Cuba, Iraq, Libya, 
  66. North Korea, Iran, Syria or any other country to which the U.S. has
  67. embargoed goods; or (ii) to anyone on the U.S. Treasury Department's
  68. list of Specially Designated Nationals or the U.S. Commerce
  69. Department's Table of Deny Orders.  By downloading or using the
  70. Software, you are agreeing to the foregoing and you are representing
  71. and warranting that you are not located in, under the control of, or a
  72. national resident of any such country or on any such list.
  73.  
  74. MISCELLANEOUS.  This Agreement represents the complete agreement
  75. concerning this license between the parties and supersedes all prior
  76. agreements and representations between them.  It may be amended only
  77. by a writing executed by both parties.  If any provision of this
  78. Agreement is held to be unenforceable for any reason, such provision
  79. shall be reformed only to the extent necessary to make it enforceable.
  80. This Agreement shall be governed by and construed under California law
  81. as such law applied to agreements between California residents entered
  82. into and to be performed within California, except as governed by
  83. Federal law.  The application the United Nations Convention of
  84. Contracts for the International Sale of Goods is expressly excluded.
