  4.                      DVD SOFTWARE -  LICENSE AGREEMENT
  5.                              AntiGame Plus (TM)
  6.  
  7.   NOTICE TO  USERS ("COMPANY"):   CAREFULLY READ THE FOLLOWING LEGAL AGREEMENT.
  8. COMPANY'S USE  OF THE SOFTWARE PRODUCT KNOWN AS  ANTIGAME PLUS FOR WINDOWS (TM)
  9. ("THE SOFTWARE") IS CONDITIONED UPON COMPLIANCE BY COMPANY  WITH  THE TERMS  OF
  10. THIS AGREEMENT. A SHAREWARE VERSION OF THE SOFTWARE MAY BE EVALUATED FOR THIRTY
  11. DAYS  ON A ROYALTY FREE BASIS.  USE OF THE REGISTERED  VERSION OF  THE SOFTWARE
  12. AND THE CONTINUED USE OF THE SHAREWARE VERSION AFTER EVALUATION  IS CONDITIONED
  13. UPON PAYMENT BY COMPANY OF THE LICENSE FEE.
  14.  
  15.   At the  end of the evaluation period,  this copy and all other copies you may
  16. have of the shareware version  of The Software  must be destroyed  and you must
  17. purchase  The Software  if you wish  to continue  to use it.   Just fill in the
  18. enclosed order form, using your preferred payment method and send it by mail or
  19. fax.
  20.  
  21.   The Software or any part of The Software may not be distributed by Company to
  22. any outside  corporation,  organization  or  government  agency.  This  license
  23. authorizes  Company  to use the number of copies  described in the confirmation
  24. letter from DVD Software ("DVD") and for which Company has paid DVD the license
  25. fee.   This  license will  remain in effect for one year  from the  date of the
  26. confirmation letter  authorizing such  continued use.   If the Company does not
  27. obtain a confirmation letter and pay the applicable  license fee,  this license
  28. expires at the end of the thirty days  evaluation period.   All updates must be
  29. accessed and downloaded from DVD's Web site.   Access instructions for licensed
  30. users are included in the confirmation letter.
  31.  
  32.   Each copy of The Software  may be used for  detecting and cleaning  games (or
  33. other  items) on one file  server and  for up to 100 (one hundred) workstations
  34. connected  to it.   You may  access the licensed  version of The Software  on a
  35. network  server,   provided that you  have obtained  licenses for  The Software
  36. covering all workstations that are connected to the server through the network.
  37.  
  38.   Examples: If 350 workstations are connected to two network servers containing
  39. The Software, a total of four licenses are required.   If 150 PCs are connected
  40. to 20 file servers, a total of 20 licenses are required.
  41.  
  42.   COPYRIGHT.   The Software  is protected  by United  States copyright laws and
  43. international treaty  provisions.   Company acknowledges  that no  title to the
  44. intellectual  property  in The  Software is  transferred to  Company.   Company
  45. further acknowledges that full ownership rights to The Software will remain the
  46. exclusive property  of DVD  or its suppliers,  and Company will not acquire any
  47. rights to The Software except as expressly set forth in this license.   Company
  48. agrees that  any copies  of The  Software made by Company will contain the same
  49. proprietary notices which appear on and in The Software.
  50.  
  51.   REVERSE ENGINEERING.   Company agrees that it will not attempt,  and will use
  52. its best  efforts to  prevent its employees from attempting to reverse compile,
  53. modify, translate or disassemble The Software in whole or in part.
  54.  
  55.   LIMITED WARRANTY.   DVD warrants that The Software will perform substantially
  56. in accordance  with the  accompanying documentation for a period of ninety (90)
  57. days from the date DVD receives payment.
  58.  
  59.   COMPANY REMEDIES.   If  The Software does not conform to the limited warranty
  60. above  ("Limited  Warranty"),  DVD's entire  liability and  Company's sole  and
  61. exclusive remedy  shall be,  at DVD's option,  either to (a) correct the error,
  62. (b) help Company  work around or avoid the error or (c) authorize a refund,  so
  63. long as The Software is destroyed by Company.   The Limited Warranty is void if
  64. failure of The Software has resulted from accident,  abuse,  or misapplication.
  65. Any replacement  software will  be warranted  for the remainder of the original
  66. Limited Warranty period.
  67.  
  68.   NO OTHER  WARRANTIES.  DVD DOES  NOT WARRANT THAT THE SOFTWARE IS ERROR FREE,
  69. IDENTIFIES ALL  KNOWN GAMES  OR MAY  NOT OCCASIONALLY  REPORT OR  DELETE A FILE
  70. WHICH IS NOT A GAME  OR NOT AN  ANTIGAME PLUS  DATABASE ITEM.   EXCEPT FOR  THE
  71. EXPRESS LIMITED WARRANTY ABOVE, DVD DISCLAIMS ALL OTHER WARRANTIES WITH RESPECT
  72. TO THE SOFTWARE,   EITHER  EXPRESS OR  IMPLIED,  INCLUDING BUT  NOT LIMITED  TO
  73. IMPLIED  WARRANTIES OF MERCHANTABILITY,  FITNESS FOR  A PARTICULAR PURPOSE  AND
  74. NONINFRINGEMENT OF THIRD PARTY RIGHTS.
  75.  
  76.   SEVERABILITY.   In the  event of invalidity of any provision of this license,
  77. the parties  agree that  such invalidity  shall not  affect the validity of the
  78. remaining portions of this license.
  79.  
  80.   NO  LIABILITY  FOR  CONSEQUENTIAL  DAMAGES.  IN  NO  EVENT SHALL  DVD OR  ITS
  81. SUPPLIERS BE  LIABLE FOR  CONSEQUENTIAL,  INCIDENTAL OR INDIRECT DAMAGES OF ANY
  82. KIND ARISING OUT OF THE DELIVERY,  PERFORMANCE OR USE OF THE SOFTWARE,  EVEN IF
  83. DVD HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL DVD'S
  84. LIABILITY FOR  ANY CLAIM,  WHETHER  IN CONTRACT,  TORT  OR ANY  OTHER THEORY OF
  85. LIABILITY, EXCEED THE LICENSE FEE PAID BY COMPANY.
  86.  
  87.   GOVERNING LAW.   This  Agreement will be governed by the laws of the State of
  88. California as  they are  applied to  agreements to  be entered  into and  to be
  89. performed  entirely  within  California.   The  United  Nations  Convention  on
  90. Contracts for the International Sale of Goods is specifically disclaimed.
  91.  
  92.   U.S.  GOVERNMENT RESTRICTED RIGHTS.   If the Software is acquired (i) for use
  93. by DoD,  use,  duplication  or disclosure  by the  Government is subject to the
  94. terms of  this license  unless superseded by 252.227-7013(c)(1)(ii) or (ii) for
  95. use by  civilian agencies,  use,  reproduction  or disclosure is subject to the
  96. terms of this license unless superseded by 52.227-19.

  98.   MISCELLANEOUS.   All information  in this  and other  documents is subject to
  99. change without  prior notice.    All  brands and  product names which appear in
  100. this document  or in  The Software  are trademarks  or registered trademarks of
  101. their respective holders.  Company may not list The Software in advertisements,
  102. catalogs,  or other  literature which describes The Software as "FREE SOFTWARE"
  103. or as "PUBLIC DOMAIN SOFTWARE".
