  3. FOR SPINFRENZY.COM SOFTWARE

  6. SPINFRENZY.COM XCHANGE(TM) AND RELATED SOFTWARE 
  7. COMPONENTS
  8.  
  9. IMPORTANT-READ CAREFULLY: This Spinfrenzy.com End-User 
  10. License Agreement ("EULA") is a legal agreement between 
  11. you (either an individual or a single entity) and 
  12. Spinfrenzy.com, Inc. for the Spinfrenzy.com software 
  13. product(s) identified above which may include associated 
  14. software components, media, printed materials, and 
  15. "online" or electronic documentation ("SOFTWARE 
  16. PRODUCT"). By installing, copying, or otherwise using the 
  17. SOFTWARE PRODUCT, you agree to be bound by the terms of 
  18. this EULA. If you do not agree to the terms of this EULA, 
  19. do not install or use the SOFTWARE PRODUCT. If the 
  20. SOFTWARE PRODUCT was purchased by you, you may return it 
  21. to your place of purchase for a full refund. 
  22.  
  23. The SOFTWARE PRODUCT is protected by copyright laws and 
  24. international copyright treaties, as well as other 
  25. intellectual property laws and treaties. The SOFTWARE 
  26. PRODUCT is licensed, not sold.
  27.  
  28. 1. GRANT OF LICENSE. The SOFTWARE PRODUCT is licensed as 
  29. follows:
  30.  
  31. * Installation and Use. Spinfrenzy.com grants you the 
  32. right to install and use copies of the SOFTWARE PRODUCT 
  33. on your computers running validly licensed copies of the 
  34. operating system for which the SOFTWARE PRODUCT was 
  35. designed (e.g., Windows(R) 95, Windows(R) 98, Windows(R) 
  36. 2000, Windows NT(R), Macintosh, etc.). 
  37.  
  38. * Backup Copies. You may also make copies of the SOFTWARE 
  39. PRODUCT as may be necessary for backup and archival 
  40. purposes. 
  41.  
  42. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
  43.  
  44. * Maintenance of Copyright Notices. You must not remove 
  45. or alter any copyright notices on all copies of the 
  46. SOFTWARE PRODUCT.
  47.  
  48. * Distribution. You may not distribute copies of the 
  49. SOFTWARE PRODUCT to third parties.
  50.  
  51. * Prohibition on Reverse Engineering, Decompilation, and 
  52. Disassembly. You may not reverse engineer, decompile, or 
  53. disassemble the SOFTWARE PRODUCT, except and only to the 
  54. extent that such activity is expressly permitted by 
  55. applicable law notwithstanding this limitation. 
  56.  
  57. * Separation of Components. The SOFTWARE PRODUCT is 
  58. licensed as a single product. Its component parts may not 
  59. be separated for use on more than one computer.
  60.  
  61. * Rental. You may not rent, lease, or lend the SOFTWARE 
  62. PRODUCT.
  63.  
  64. * Transfer. You may permanently transfer all of your 
  65. rights under this EULA, provided the recipient agrees to 
  66. the terms of this EULA.
  67.  
  68. * Support Services. Spinfrenzy.com may provide you with 
  69. support services related to the SOFTWARE PRODUCT 
  70. ("Support Services"). Use of Support Services is governed 
  71. by the Spinfrenzy.com polices and programs described in 
  72. the user manual, in "on line" documentation and/or other 
  73. Spinfrenzy.com-provided materials. Any supplemental 
  74. software code provided to you as part of the Support 
  75. Services shall be considered part of the SOFTWARE PRODUCT 
  76. and subject to the terms and conditions of this EULA. 
  77. With respect to technical information you provide to 
  78. Spinfrenzy.com as part of the Support Services, 
  79. Spinfrenzy.com may use such information for its business 
  80. purposes, including for product support and development. 
  81. Spinfrenzy.com will not utilize such technical 
  82. information in a form that personally identifies you.
  83.  
  84. * Compliance with Applicable Laws. You must comply with 
  85. all applicable laws regarding use of the SOFTWARE 
  86. PRODUCT.

  88. 3. TERMINATION. Without prejudice to any other rights, 
  89. Spinfrenzy.com may terminate this EULA if you fail to 
  90. comply with the terms and conditions of this EULA. In 
  91. such event, you must destroy all copies of the SOFTWARE 
  92. PRODUCT and all of its component parts.

  94. 4. COPYRIGHT. All title, including but not limited to 
  95. copyrights, in and to the SOFTWARE PRODUCT and any copies 
  96. thereof are owned by Spinfrenzy.com or its suppliers. All 
  97. title and intellectual property rights in and to the 
  98. content which may be accessed through use of the SOFTWARE 
  99. PRODUCT is the property of the respective content owner 
  100. and may be protected by applicable copyright or other 
  101. intellectual property laws and treaties. This EULA grants 
  102. you no rights to use such content. All rights not 
  103. expressly granted are reserved by Spinfrenzy.com.
  104.  
  105. 5. U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE 
  106. PRODUCT is provided with RESTRICTED RIGHTS. Use, 
  107. duplication, or disclosure by the Government is subject 
  108. to restrictions as set forth in subparagraph (c)(1)(ii) 
  109. of the Rights in Technical Data and Computer Software 
  110. clause at DFARS 252.227-7013 or subparagraphs (c)(1) and 
  111. (2) of the Commercial Computer Software Restricted Rights 
  112. at 48 CFR 52.227-19, as applicable. Manufacturer is 
  113. Spinfrenzy.com, Inc./490 San Antonio Rd., Ste. G/Palo 
  114. Alto, CA 94306-4649.

  116. 6. EXPORT RESTRICTIONS. You agree that you will not 
  117. export or re-export the SOFTWARE PRODUCT to any country, 
  118. person, entity or end user subject to U.S.A. export 
  119. restrictions. Restricted countries currently include, but 
  120. are not necessarily limited to Cuba, Iran, Iraq, Libya, 
  121. North Korea, Sudan, and Syria. You warrant and represent 
  122. that neither the U.S.A. Bureau of Export Administration 
  123. nor any other federal agency has suspended, revoked or 
  124. denied your export privileges.

  126. 7. NO WARRANTIES. SPINFRENZY.COM EXPRESSLY DISCLAIMS ANY 
  127. WARRANTY FOR THE SOFTWARE PRODUCT. THE SOFTWARE PRODUCT 
  128. AND ANY RELATED DOCUMENTATION IS PROVIDED "AS IS" WITHOUT 
  129. WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, 
  130. INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OR 
  131. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR 
  132. NONINFRINGEMENT. THE ENTIRE RISK ARISING OUT OF USE OR 
  133. PERFORMANCE OF THE SOFTWARE PRODUCT REMAINS WITH YOU.

  135. 8. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT 
  136. PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 
  137. SPINFRENZY.COM OR ITS SUPPLIERS BE LIABLE FOR ANY 
  138. SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES 
  139. WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR 
  140. LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF 
  141. BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) 
  142. ARISING OUT OF THE USE OF OR INABILITY TO USE THE 
  143. SOFTWARE PRODUCT OR THE PROVISION OF OR FAILURE TO 
  144. PROVIDE SUPPORT SERVICES, EVEN IF SPINFRENZY.COM HAS BEEN 
  145. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, 
  146. SPINFRENZY.COM'S ENTIRE LIABILITY UNDER ANY PROVISION OF 
  147. THIS EULA SHALL BE LIMITED TO THE GREATER OF THE AMOUNT 
  148. ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT OR US$1.00; 
  149. PROVIDED HOWEVER, IF YOU HAVE ENTERED INTO A 
  150. SPINFRENZY.COM SUPPORT SERVICES AGREEMENT, 
  151. SPINFRENZY.COM'S ENTIRE LIABILITY REGARDING SUPPORT 
  152. SERVICES SHALL BE GOVERNED BY THE TERMS OF THAT 
  153. AGREEMENT. BECAUSE SOME STATES AND JURISDICTIONS DO NOT 
  154. ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, THE ABOVE 
  155. LIMITATION MAY NOT APPLY TO YOU.

  157. 9. GOVERNING LAW; ATTORNEYS' FEES. If you acquired the 
  158. SOFTWARE PRODUCT in the United States, this EULA is 
  159. governed by the laws of the State of California, and you 
  160. further consent to jurisdiction by the state and federal 
  161. courts sitting in the State of California. If you 
  162. acquired the SOFTWARE PRODUCT outside the United States, 
  163. then local law may apply. If either you or Spinfrenzy.com 
  164. employ attorneys to enforce any rights arising out of or 
  165. relating to this EULA, the prevailing party shall be 
  166. entitled to recover reasonable attorneys' fees.

  168. 10. MISCELLANEOUS. If any part of this EULA is found 
  169. void and unenforceable, it will not affect the validity 
  170. of the balance of the EULA, which shall remain valid and 
  171. enforceable according to its terms. This EULA shall 
  172. automatically terminate upon failure by you to comply 
  173. with its terms. This Agreement may only be modified in 
  174. writing signed by an authorized officer of 
  175. Spinfrenzy.com. Should you have any questions concerning
