  2. This is a legal agreement between you, either individual or 
  3. entity(Licensee) and Mediamatics Inc.  having a place of business 
  4. at 4633 Old Ironsides Drive, Suite 328, Santa Clara CA 95054. If 
  5. you do not agree to the terms of this agreement, press the REJECT
  6. button and this setup program will exit.

  8. By pressing the ACCEPT button, you are bound by the terms of this 
  9. agreement.

  11. 1. Mediamatics Inc. hereby grants to Licensee a personal,worldwide,
  12. non-exclusive and non-transferable restricted license to use the 
  13. Licensed Software on a single user computer, or on a single 
  14. terminal or workstation of  a  local area network.
  15.     
  16. 2. Licensee is authorized to make only one copy of the Licensed 
  17. Software solely for backup purposes.
  18.  
  19. 3. In no event shall Licensee attempt to reverse engineer, 
  20. decompile, disassemble, or otherwise reduce the Licensed Software
  21. to human-readable form for which it has no legal claim of 
  22. ownership or contractual right to use.

  24. 4. Nothing on this agreement shall affect the exclusive ownership 
  25. by Mediamatics Inc. of the Licensed Software, or any patents,
  26. trademarks, copyrights or other property rights pertaining to the 
  27. Licensed Software.

  29. 5. This license shall be effective until terminated. Licensee may 
  30. terminate this license at any time by destroying all copies of the 
  31. Licensed Software.

  33. 6. This Agreement may terminate automatically, without notice from 
  34. Mediamatics Inc,if the Licensee fails to comply with this Agreement.

  36. 7. Damage Limitation
  37. INDEPENDENTLY OF ANY OTHER LIMITATION HEREOF AND 
  38. REGARDLESS OF WHETHER THE PURPOSE OF ANY REMEDY 
  39. SET FORTH HEREIN IS SERVED, IT IS AGREED THAT IN 
  40. NO EVENT SHALL EITHER  PARTY BE LIABLE FOR SPECIAL, 
  41. INCIDENTAL OR CONSEQUENTIAL DAMAGES OF ANY KIND 
  42. UNDER THIS LICENSE EVEN IF MEDIAMATICS INC. HAS 
  43. BEEN ADVISED OF  THE POSSIBILITY OF SUCH DAMAGES.

  45. 8.U.S. Government Restricted Rights
  46. Use, duplication or disclosure by the U.S. Government is subject to 
  47. restrictions as set forth in subparagraph (c)(1)(ii) of the Rights 
  48. in Technical Data and Computer Software clause at 
  49. DFARS 252.227-7013(Oct. 1988) and FAR 52.227-19 (June 1987).

  51. Santa Clara, CA 95054.

  53. 9. General
  54. This  Agreement shall be governed by the laws(excluding choice 
  55. of law rules) of the State of California.
