  1. BY USING THE SOFTWARE THAT IS PART OF THIS PACKAGE, YOU ARE 
  2. AUTOMATICALLY AGREEING TO ALL THE TERMS OF THE FOLLOWING 
  3. AGREEMENT. IF YOU DO NOT AGREE WITH THERE TERMS, DO NOT USE THIS 
  4. SOFTWARE.

  8. LICENSE AGREEMENT AND WARRANTY DISCLAIMER

  11. 1. License.    Farallon Computing, Inc. (“Farallon”) hereby grants to any 
  12. person or entity which has acquired the enclosed software (hereafter 
  13. referred to as “Developer”), and Developer hereby accepts from Farallon, a 
  14. fully-paid, nonexclusive, nontransferable worldwide license ("this 
  15. License") (i) to use the enclosed software and source code (the “Farallon 
  16. Software”) to develop computer software programs (“Programs”) intended 
  17. for use in combination exclusively with Farallon’s MacRecorder® sound 
  18. digitizer and incorporating all or any portion of the Farallon Software 
  19. files identified as Sound.c and Sound.h (the “Sound Files”) and (ii) to 
  20. distribute the Sound Files for use only in combination with Programs and 
  21. only on the terms and conditions stated herein.  This license may be 
  22. exercised by Developer only in connection with the development of 
  23. software products which, among other things, are intended to facilitate 
  24. the recording, playback and editing of sound exclusively using the Farallon 
  25. MacRecorder® sound digitizer.  Any other use of the Farallon software is 
  26. strictly prohibited and shall render this license void without further 
  27. notice to Developer, in addition to any other remedies which Farallon may 
  28. have for misuse of this license.  Developer agrees that this License gives 
  29. no title or rights of ownership in the Farallon Software and acknowledges 
  30. that such Software is proprietary to Farallon.

  32. 2. Disclaimer of Warranty.  Developer understands and acknowledges that 
  33. Farallon provides no support for the Farallon Software.  Farallon licenses 
  34. the Farallon Software to Developer on an "as is" basis.  FARALLON MAKES 
  35. NO WARRANTIES, EITHER EXPRESS OR IMPLIED, REGARDING THE FARALLON 
  36. SOFTWARE.  FARALLON HEREBY EXPRESSLY DISCLAIMS ALL IMPLIED 
  37. WARRANTIES, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF 
  38. NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR 
  39. PURPOSE. Without limiting the foregoing, in no event shall Farallon be 
  40. liable for incidental or consequential damages resulting from the use, sale 
  41. or distribution of Farallon Software by Developer or others, whether under 
  42. theory of contract, warranty, tort or products liability and even if 
  43. Farallon has been advise of the possibility of such liability  
  44.  
  45. 3. Labelling. 
  46. (a)    Developer shall not remove any copyright notices or proprietary 
  47. legends contained within the Farallon Software and Developer shall 
  48. include on the label of each Program diskette, and in the screen display 
  49. About Box, a copyright notice as follows:  "Portions ©1989 Farallon 
  50. Computing, Inc."

  52. (b)    In addition, Developer shall include a notice in a prominent place in 
  53. the manual accompanying any Program, as follows:

  55. Portions of this software program have been provided by Farallon 
  56. Computing, Inc. in order to enable this program to be used with Farallon’s 
  57. MacRecorder® sound digitizer.  Farallon makes no warranties regarding 
  58. this program, its merchantability or its fitness for any particular purpose.  
  59.  
  60. (c)    Farallon may, during the term of this Agreement, require revisions 
  61. or additions to the notices to be placed on the software or in Developer's 
  62. manual. Developer shall incorporate such revisions or additions to the 
  63. notices required herein, within thirty (30) days of written notice from 
  64. Farallon . 
  65.  
  66. (d)    Developer is encouraged to include a notice in its advertising 
  67. indicating that its Program is compatible with Farallon's MacRecorder® 
  68. sound digitizer product; provided, that any such notice shall not make it 
  69. appear that the Program originates from Farallon. Such notice shall never 
  70. include the use of Farallon's logo. Developer shall indicate in its 
  71. advertising that "Farallon" is a trademark and "MacRecorder" is a 
  72. registered trademark of Farallon Computing, Inc.  Farallon shall have the 
  73. right to control all aspects of the manner in which its trademarks are 
  74. used. 
  75.  
  76. (e)    Developer shall provide Farallon with an archive copy of Developer 
  77. Programs for the sole purpose of monitoring Developer's compliance with 
  78. the terms of this Agreement. Farallon shall keep all such copy or copies in 
  79. strict confidence and agrees not to disclose or distribute them in any way 
  80. without permission of Developer.

  82. 4. Breach and Termination.
  83. In the event that any breach of this Agreement by Developer continues 
  84. after the expiration of thirty (30) days from the date of written notice by 
  85. Farallon of such breach, Farallon may terminate this Agreement by 
  86. written notice to Developer, whereupon this License and all rights granted 
  87. to Developer herein shall immediately cease. Waiver by Farallon of any 
  88. breach by Developer shall not be deemed to be a waiver of any other or 
  89. subsequent breach. The rights of Farallon under this clause are in addition 
  90. to any other rights and remedies provided by law or under this Agreement. 
  91. Upon written notice by Farallon after any termination of this Agreement, 
  92. Developer shall promptly return to Farallon all Farallon Software supplied 
  93. under Paragraph 4 above.
  94.  
  95. 5. General. Any notice required under this Agreement shall be given by 
  96. first class mail, postage prepaid with return receipt requested.  This 
  97. Agreement constitutes the entire Agreement between the parties 
  98. concerning the subject matter hereof.  Any waiver or amendment of any 
  99. provision of this Agreement shall be effective only if in writing and 
  100. signed by the parties.  This Agreement may not be assigned, nor the rights 
  101. granted hereunder sublicensed, by Developer without the prior written 
  102. consent of Farallon.  This Agreement shall not be construed as creating an 
  103. agency, partnership or any other form of legal association between the 
  104. parties.  This Agreement shall be governed by the laws of the State of 
  105. California and the U.S. Copyright laws.
