IMPORTANT-READ CAREFULLY: This Microsoft End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and Microsoft Corporation for the Microsoft software product identified above, which includes computer software and may include associated media, printed materials, and "online" or electronic documentation ("SOFTWARE PRODUCT"). By installing, copying, or otherwise using the SOFTWARE PRODUCT, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, you may not use the SOFTWARE PRODUCT.
SOFTWARE PRODUCT LICENSE
The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.
INTRODUCTION. The SOFTWARE PRODUCT is comprised of the following components: Microsoft Agent Server; Microsoft Agent Control; Microsoft Character Animation Data and Image Files; and Microsoft Agent Data Provider. This EULA describes your rights with respect to such components. This EULA also grants you rights to install and use one copy of the "Microsoft Command and Control" speech engine and/or one copy of the "Lernout & Hauspie TruVoice Text-To-Speech Engine for Microsoft Agent" for use solely with the SOFTWARE PRODUCT.
1. GRANT OF LICENSE. This EULA grants you the following rights:
Software Product as a Whole. You may install and use one (1) copy of the SOFTWARE PRODUCT on a single computer.
Components/Engines Additional Rights/Restrictions. Certain components of the SOFTWARE PRODUCT and the engines are subject to the following additional provisions:
Microsoft Character Animation Data and Image Files. You may download and use the Character Animation Data and Image Files designated by Microsoft as "Redistributable Character Animation Data and Image Files" solely in conjunction with Microsoft Agent. You may create scripts or programs that use the Microsoft Agent API to animate the character and static or animated images that are provided by Microsoft to enable the end-user selection of an animated image, provided, however, that you do not: (a) use the Character Animation Data and Image Files to disparage Microsoft, its products or services or for promotional goods or for products which, in Microsoft's reasonable judgment, may diminish or otherwise damage Microsoft's goodwill in the SOFTWARE PRODUCT, including but not limited to uses which could be deemed under applicable law to be obscene or pornographic, uses which are excessively violent, unlawful, or which purpose is to encourage unlawful activities; (b) use the Character Animation Data and Image files to imply Microsoft's sponsorship, endorsement or approval of your software application, service or content provided on your Internet site; (c) alter the Character Animation Data and Image Files in any way; and (d) combine the Animated Character(s) or Animation data files with any other object, including, but not limited to, other logos, words, graphics, photos, slogans, numbers, design features or symbols.
"Microsoft Command and Control" Speech Engine. The "Microsoft Command and Control" speech engine is available on a separate download site apart from the Microsoft Agent site at http://www.microsoft.com; or via a web page script using the "Microsoft Command and Control" speech engine CLSID in an object tag. This EULA grants you the right, at no cost, to install and use one copy per computer of the "Microsoft Command and Control" speech engine subject to the Use Restrictions described below.
Lernout & Hauspie TruVoice Text-to-Speech Engine for Microsoft Agent. The "Lernout & Hauspie TruVoice Text-to-Speech Engine for Microsoft Agent" is available from the Microsoft Agent site at http://www.microsoft.com; or via a web page script using the "Lernout & Hauspie TruVoice Text-to-Speech Engine for Microsoft Agent" CLSID in an object tag. This EULA grants you the right to install, and use one (1) copy per computer of the "Lernout & Hauspie TruVoice Text-to-Speech Engine for Microsoft Agent" solely in conjunction with the SOFTWARE PRODUCT subject to the Use Restrictions below.
Use Restrictions. The "Microsoft Command and Control" speech engine and the "Lernout & Hauspie TruVoice Text-to-Speech Engine for Microsoft Agent" are designated collectively as "ENGINE(S)". You may (a) place a notice on your web site or application that states the ENGINE(S) are available for installation only from the Microsoft Agent site at http://www.microsoft.com; (b) include the respective ENGINES' CLSID in an object tag on your web site that will automatically download the ENGINE(S) for the end-users from the Microsoft web site; provided, however the ENGINE(S) only operate in conjunction with Microsoft Agent; (c) you do not permit further redistribution of the ENGINE(S) by your end-user customers; (d) you do not use Microsoft's name, logo, or trademarks to market your web site; (e) you include a valid copyright notice on your web site; and (f) you agree to indemnify, hold harmless, and defend Microsoft from and against any claims or lawsuits, including attorneys' fees, that arise or result from the use or distribution of your web site. Contact Microsoft for the applicable royalties due and other licensing terms for all other uses and/or distribution of the ENGINE(S).
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
Support Services. Microsoft may provide you with support services related to the SOFTWARE PRODUCT ("Support Services"). Use of Support Services is governed by the Microsoft polices and programs described in the user manual, in "on line" documentation and/or other Microsoft-provided materials. Any supplemental software code provided to you as part of the Support Services shall be considered part of the SOFTWARE PRODUCT and subject to the terms and conditions of this EULA. With respect to technical information you provide to Microsoft as part of the Support Services, Microsoft may use such information for its business purposes, including for product support and development. Microsoft will not utilize such technical information in a form that personally identifies you.
Limitations on Certain Testing Methods. You may not use the SOFTWARE PRODUCT for benchmarking or performance testing.
Limitations on Reverse Engineering, Decompilation, and Disassembly. You may not reverse engineer, decompile, or disassemble the SOFTWARE PRODUCT, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
Rental. You may not rent, lease or lend the SOFTWARE PRODUCT.
Software Transfer. You may permanently transfer all of your rights under this EULA, provided you retain no copies, you transfer all of the SOFTWARE PRODUCT (including all component parts, the media and printed materials, any upgrades, this EULA, and, if applicable, the Certificate of Authenticity), and the recipient agrees to the terms of this EULA.
3. ALL RIGHTS NOT EXPRESSLY GRANTED HEREIN ARE RESERVED BY MICROSOFT.
4. TERMINATION. Without prejudice to any other rights, Microsoft may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the SOFTWARE PRODUCT and all of its component parts.
5. COPYRIGHT. All title and copyrights in and to the SOFTWARE PRODUCT (including but not limited to any images, photographs, animations, video, audio, music, text, and "applets" incorporated into the SOFTWARE PRODUCT), the accompanying printed materials, and any copies of the SOFTWARE PRODUCT are owned by Microsoft or its suppliers. The SOFTWARE PRODUCT is protected by copyright laws and international treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT like any other copyrighted material. You may not copy the printed materials accompanying the SOFTWARE PRODUCT.
6. U.S. GOVERNMENT RESTRICTED RIGHTS. The SOFTWARE PRODUCT and documentation are provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software-Restricted Rights at 48 CFR 52.227-19, as applicable. Manufacturer is Microsoft Corporation/One Microsoft Way/Redmond, WA 98052-6399.
7. EXPORT RESTRICTIONS. You acknowledge that the SOFTWARE PRODUCT licensed hereunder is subject to the export control laws and regulations of the U.S.A., and any amendments thereof. You confirm that with respect to the SOFTWARE PRODUCT, you will not export or re-export it, directly or indirectly, to any countries that are subject to U.S.A. export restrictions. You further acknowledge that the SOFTWARE PRODUCT may include technical data subject to export and re-export restrictions imposed by U.S.A. law.
MISCELLANEOUS
If you acquired this product in the United States, this EULA is governed by the laws of the State of Washington. If you acquired this product in Canada, this EULA is governed by the laws of the Province of Ontario, Canada. Each of the parties hereto irrevocably attorns to the jurisdiction of the courts of the Province of Ontario and further agrees to commence any litigation which may arise hereunder in the courts located in the Judicial District of York, Province of Ontario. If this product was acquired outside the United States, then local law may apply. LIMITED WARRANTY
NO WARRANTIES. To the maximum extent permitted by applicable law, Microsoft and its suppliers disclaim all warranties and conditions, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title and non-infringement, with regard to the SOFTWARE PRODUCT, and the provision of or failure to provide Support Services. This limited warranty gives you specific legal rights. You may have others, which vary from state/jurisdiction to state/jurisdiction.
LIMITATION OF LIABILITY. To the maximum extent permitted by applicable law, in no event shall Microsoft or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the SOFTWARE PRODUCT or the provision of or failure to provide Support Services, even if Microsoft has been advised of the possibility of such damages. In any case, Microsoft's entire liability under any provision of this EULA shall be limited to the greater of the amount actually paid by you for the SOFTWARE PRODUCT or US$5.00; provided however, if you have entered into a Microsoft Support Services Agreement, Microsoft's entire liability regarding Support Services shall be governed by the terms of that agreement. Because some states and jurisdictions do not allow the exclusion or limitation of liability, the above limitation may not apply to you.
