  1. END-USER LICENSE AGREEMENT FOR 
  2. MICROSOFT(r) SOFTWARE (NON-OPERATING SYSTEM)
  3.  
  4. IMPORTANT-READ CAREFULLY: This End-User License 
  5. Agreement ("EULA") is a legal agreement between you 
  6. (either an individual or a single entity) and the manufacturer 
  7. ("PC Manufacturer" or "Manufacturer") of the computer 
  8. system  or computer system component ("HARDWARE") 
  9. with which you acquired the Microsoft software product(s) 
  10. identified above or on the Product Identification Card 
  11. accompanying this EULA ("SOFTWARE PRODUCT" 
  12. or "SOFTWARE").  If the SOFTWARE PRODUCT is not 
  13. accompanied by a new computer system or computer 
  14. system component, you may not use or copy the 
  15. SOFTWARE PRODUCT.  The SOFTWARE PRODUCT 
  16. includes computer software, the associated media, 
  17. any Microsoft hardware accompanying the computer 
  18. software, any printed materials, and any "online" or 
  19. electronic documentation.  By installing, copying or 
  20. otherwise using the SOFTWARE PRODUCT, 
  21. you agree to be bound by the terms of this EULA.  
  22. If you do not agree to the terms of this EULA, 
  23. Manufacturer and Microsoft Corporation ("Microsoft") 
  24. are unwilling to license the SOFTWARE PRODUCT to you.  
  25. In such event, you may not use or copy the 
  26. SOFTWARE PRODUCT, and you should promptly 
  27. contact Manufacturer for instructions on return of 
  28. the product(s) for a refund.
  29.  
  30. SOFTWARE PRODUCT LICENSE
  31. The SOFTWARE PRODUCT is protected by copyright laws 
  32. and international copyright treaties, as well as other
  33.  intellectual property laws and treaties.  
  34. The SOFTWARE PRODUCT is licensed, not sold. 
  35. The term "COMPUTER" as used herein shall mean 
  36. the HARDWARE, if the HARDWARE is a computer 
  37. system, or the computer system with which the 
  38. HARDWARE operates, if the HARDWARE is 
  39. a computer system component.
  40. 1. GRANT OF LICENSE.  This EULA grants you the following rights:
  41. * Software Installation and Use.  Except as otherwise expressly 
  42. provided in Section 1 of this EULA, you may only 
  43. install and use one copy of the SOFTWARE PRODUCT on the COMPUTER.
  44. * SQL Server, Workstation System Installation and Use. 
  45.  If the SOFTWARE PRODUCT is SQL Server, Workstation 
  46. System, the following applies to your installation and 
  47. use of the SOFTWARE PRODUCT subject to the 
  48. restrictions set forth in Section 2.  For each Processor 
  49. Version (defined below) supplied, 
  50. the SOFTWARE PRODUCT consists 
  51. of "Server Software", "Client Software", and "Development Tool" components.  
  52. You may 
  53. install and use one copy of one Processor Version 
  54. of the Server Software component only on the COMPUTER.  
  55. You may install the Client 
  56. Software and Development Tool components of 
  57. the SOFTWARE PRODUCT, regardless of Processor Version, 
  58. on any number of 
  59. your computers, provided there is only one copy 
  60. of each Processor Version of each such component in use at any time.
  61. * Network Services. Except as may otherwise be 
  62. provided below, if the SOFTWARE PRODUCT 
  63. documentation indicates that the SOFTWARE PRODUCT
  64.  includes functionality 
  65. that enables the COMPUTER to share resources 
  66. over a network with other computers or workstations, 
  67. any number of computers or 
  68. workstations may access or otherwise utilize 
  69. the basic network services of SOFTWARE PRODUCT on the COMPUTER.  
  70. The basic network services are more fully 
  71. described in the printed materials accompanying the 
  72. SOFTWARE PRODUCT and  
  73. include file and print services and peer Web services.
  74. * Storage/Network Use.  You may also store or 
  75. install a copy of the computer software portion 
  76. of the SOFTWARE PRODUCT on the COMPUTER to 
  77. allow your other computers to 
  78. use the SOFTWARE PRODUCT over an internal 
  79. network, and distribute the SOFTWARE PRODUCT to 
  80. your other computers 
  81. over an internal network.  However, you must 
  82. acquire and dedicate a license for the SOFTWARE 
  83. PRODUCT for each computer on 
  84. which the SOFTWARE PRODUCT is used or to 
  85. which it is distributed.  A license for the SOFTWARE 
  86. PRODUCT may not be shared 
  87. or used concurrently on different computers.
  88. * Back-up Copy. If PC Manufacturer has not 
  89. included a back-up copy of the 
  90. SOFTWARE PRODUCT with the COMPUTER, 
  91. you may make a single back-up copy of the computer software 
  92. portion of the SOFTWARE PRODUCT.  You may 
  93. use the back-up copy solely for archival purposes.  
  94. Back-up Utility.  If the 
  95. SOFTWARE PRODUCT includes a Microsoft 
  96. back-up utility you may use it to make the single back-up 
  97. copy described.  After the 
  98. single back-up copy is made, the backup utility will 
  99. be permanently disabled.
  100. 2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.  
  101. * Speech Recognition.  If the SOFTWARE PRODUCT
  102.  includes a speech recognition component, it 
  103. should be understood by you that speech recognition is 
  104. inherently a statistical 
  105. process; that recognition errors are inherent in the 
  106. process of speech recognition; that it is your 
  107. responsibility to provide for handling 
  108. such errors and to monitor the speech recognition 
  109. process and correct any errors.  Neither Manufacturer 
  110. or its suppliers shall be liable 
  111. for any damages arising out of errors in the speech 
  112. recognition process.
  113. * Application Sharing with NetMeeting( Conferencing Software.  
  114. The SOFTWARE PRODUCT may contain 
  115. technology that enables applications to be 
  116. shared between two or more 
  117. computers, even if an application is installed on 
  118. only one of the computers.  You may use this 
  119. technology with all Microsoft products 
  120. only for multi-party conferences.  For non-Microsoft 
  121. applications, you should consult the accompanying 
  122. license agreement or contact the 
  123. licensor to determine whether application sharing 
  124. is permitted by the licensor.  You must comply with all 
  125. applicable laws regarding 
  126. the use of the SOFTWARE PRODUCT. 
  127. * SQL Server, Workstation System.  If the 
  128. SOFTWARE PRODUCT is SQL Server, Workstation 
  129. System the following applies to your use of the 
  130. SOFTWARE PRODUCT.  Open Data Services.  
  131. The Open Data Services component of the 
  132. Server Software is licensed only for use with 
  133. SQL Server and SQL Server 
  134. extended stored procedures, and for developing 
  135. and testing Open Data Services-based software applications.  
  136. Any other use of the 
  137. Open Data Services component, such as for 
  138. general operation of (i) stand-alone gateways or 
  139. (ii) custom Open Data Services-based 
  140. applications, requires a separate license even 
  141. if they are run on the same computer as SQL Server.  
  142. Run-Time Software - 
  143. You have a limited nonexclusive, royalty-free right 
  144. to reproduce and distribute those DB-Library, 
  145. Net-Library and ODBC files included 
  146. in Microsoft SQL Server which are required for 
  147. run-time execution of compiled applications ("Run-Time Files") 
  148. in conjunction with and as a part of your 
  149. application software product that is created using the 
  150. Microsoft SQL Server Server Software ("Application"), 
  151. provided that: (a) you comply with the  export 
  152. restrictions in Section 6; 
  153. (b) you do not use Microsoft's name, logo, or trademarks 
  154. to market your Application; (c) you include a valid 
  155. copyright notice in your Application; 
  156. (d) if your Application contains ODBC 
  157. files, (i) your Application must operate in 
  158. conjunction with Microsoft SQL Server, and 
  159. (ii) you agree to  distribute all ODBC 
  160. components specified in the README file in 
  161. conjunction with your Application; 
  162. (e) you do not charge separately for the Run-Time Files; (f) 
  163. you do not modify the Run-Time Files; and (g) 
  164. you agree to indemnify, 
  165. hold harmless, and defend Microsoft, Manufacturer, 
  166. and their suppliers from and against any claims 
  167. or lawsuits, including attorneys' fees, 
  168. that arise or result from the use or distribution 
  169. of your Application.  You shall display any patent or 
  170. proprietary notices on each copy of your 
  171. Application(s) that contains Run-Time Files, 
  172. if an as required in the documentation or other 
  173. materials provided with the SOFTWARE PRODUCT, 
  174. or subsequently provided 
  175. to you by Microsoft or Manufacturer.
  176. * Note On JAVA Support.  The SOFTWARE PRODUCT 
  177. may contain support for programs written in JAVA. 
  178.  JAVA technology is not fault tolerant and 
  179. is not designed, manufactured, 
  180. or intended for use or resale as on-line control 
  181. equipment in hazardous environments requiring fail-safe performance, 
  182. such as in the operation of nuclear facilities, 
  183. aircraft navigation or communication systems, 
  184. air traffic control, direct life support 
  185. machines, or weapons systems, in which the
  186.  failure of JAVA technology could lead directly to 
  187. death, personal injury, or severe 
  188. physical or environmental damage.
  189. * Multiple Processor Version Selection. 
  190. The CD or diskette(s) on which the SOFTWARE 
  191. PRODUCT resides may contain several copies 
  192. of the SOFTWARE PRODUCT, each of 
  193. which is compatible with a different microprocessor 
  194. architecture, such as the x86 architecture or various 
  195. RISC architectures ("Processor Version(s)"). 
  196. You may install and use only one copy of one 
  197. Processor Version of the SOFTWARE PRODUCT on the COMPUTER.
  198. * Language Version Selection. Manufacturer may 
  199. have elected to provide you with a selection of
  200.  language versions for one or more of the 
  201. Microsoft software products licensed under this 
  202. EULA.  If the SOFTWARE PRODUCT is included
  203.  in more than one language version, 
  204. you are licensed to use only one of the 
  205. language versions provided.  As part of the setup 
  206. process for the SOFTWARE PRODUCT 
  207. you will be given a one-time option to 
  208. select a language version.  Upon selection, the
  209.  language version selected by you will be 
  210. set up on the COMPUTER, and the language 
  211. version(s) not selected by you will be automatically 
  212. and permanently deleted from the hard disk of the COMPUTER. 
  213. * Limitations on Reverse Engineering, 
  214. Decompilation and Disassembly.  
  215. You may not reverse engineer, decompile, or 
  216. disassemble the SOFTWARE PRODUCT, except and 
  217. only to the extent that such activity is 
  218. expressly permitted by applicable law notwithstanding this limitation.
  219. * Separation of Components.  The 
  220. SOFTWARE PRODUCT is licensed as a 
  221. single product.  Its component parts may not be 
  222. separated for use on more than one computer.
  223. * Single COMPUTER.  
  224. The SOFTWARE PRODUCT is licensed with 
  225. the HARDWARE as a single integrated product.  
  226. The SOFTWARE PRODUCT may only be used with 
  227. the HARDWARE  as set forth in this EULA.
  228. * Single EULA.  The package for the 
  229. SOFTWARE PRODUCT may contain multiple 
  230. versions of this EULA, such as multiple translations and/or multiple media 
  231. versions (e.g., in the user documentation and in the software).  
  232. In this case, you are only licensed to use one
  233.  (1) copy of the SOFTWARE PRODUCT.
  234. * Rental.  You may not rent, lease, or lend the SOFTWARE PRODUCT.  
  235. * Software Transfer.  You may permanently 
  236. transfer all of your rights under this EULA 
  237. only as part of a sale or transfer of the HARDWARE, 
  238. provided you retain no copies, 
  239. you transfer all of the SOFTWARE PRODUCT
  240.  (including all component parts, the media and 
  241. printed materials, any upgrades, 
  242. this EULA and, if applicable, the Certificate(s) of Authenticity), 
  243. and the recipient agrees to the terms of this EULA. 
  244.  If the SOFTWARE PRODUCT 
  245. is an upgrade, any transfer must include all prior 
  246. versions of the SOFTWARE PRODUCT.
  247. * Termination.  Without prejudice to any other rights, 
  248. Microsoft or Manufacturer may terminate your right 
  249. to use the SOFTWARE PRODUCT under this EULA
  250.  if you fail to comply 
  251. with the terms and conditions of this EULA.  In 
  252. such event, you must destroy all copies of the 
  253. SOFTWARE PRODUCT and all of its component parts.
  254. 3. UPGRADES.  If the SOFTWARE PRODUCT is
  255.  labeled as an upgrade, you must be properly 
  256. licensed to use a product identified by Microsoft or 
  257. Manufacturer as being eligible for the 
  258. upgrade in order to use the SOFTWARE PRODUCT 
  259. ("Eligible Product"). For the purpose of upgrade products only, 
  260. "HARDWARE" shall mean the computer system or 
  261. computer system component with which you received the Eligible Product.  
  262. A SOFTWARE PRODUCT labeled as an upgrade 
  263. replaces and/or supplements the Eligible Product which came with the HARDWARE.  
  264. You may use the resulting upgraded product 
  265. only in accordance with the terms of this EULA and only with the HARDWARE. 
  266. 4. COPYRIGHT.  All title and copyrights in and to 
  267. the SOFTWARE PRODUCT 
  268. (including but not limited to any images, photographs, animations, video, audio, music, text 
  269. and "applets," incorporated into the SOFTWARE PRODUCT),
  270.  the accompanying printed materials, and any copies of the 
  271. SOFTWARE PRODUCT, are owned by Microsoft 
  272. or its suppliers. You may not copy the printed materials 
  273. accompanying the SOFTWARE PRODUCT. 
  274.  All rights not specifically granted under this EULA are reserved by Microsoft.
  275. 5. SOFTWARE MEDIA.  You may receive the SOFTWARE PRODUCT 
  276. in more than one medium. Regardless of the 
  277. type or size of medium you receive, you may use only one medium that is 
  278. appropriate for the COMPUTER.  
  279. You may not use or install the other 
  280. medium on another computer.  You may not loan, rent, lease, 
  281. or otherwise transfer the other medium to another user, 
  282. except as part of the permanent transfer (as provided above) of the SOFTWARE PRODUCT.
  283. 6. EXPORT RESTRICTIONS. You agree that neither you nor 
  284. your customers intend to or will, directly or indirectly,
  285.  export or transmit (i) the SOFTWARE PRODUCT or related documentation and 
  286. technical data, or (ii) your Application, as described above in 
  287. Section 2, developed with SQL Server Server software, or process, or service 
  288. that is the direct product of the SOFTWARE PRODUCT to
  289.  any country to which such export or transmission is 
  290. restricted by any applicable U.S. regulation or statute, 
  291. without the prior written consent, if required, of the Bureau 
  292. of Export Administration 
  293. of the U.S. Department of Commerce, or such other governmental 
  294. entity as may have jurisdiction over such export or transmission. 
  295.  
  296. If SOFTWARE PRODUCT is labeled "North America Only Version" 
  297. above, on the Product Identification Card, or on the 
  298. SOFTWARE PRODUCT packaging or other written materials, 
  299. then the following applies:  The SOFTWARE PRODUCT is
  300.  intended for distribution only in the United States and Canada.  
  301. Export of  the 
  302. SOFTWARE PRODUCT from the United States is
  303.  regulated by the International Traffic in Arms Regulations 
  304. (ITAR, 22 CFR 120-130) of the  U.S. State Department, 
  305. Office of Defense Trade Controls.  A State Department license
  306.  is required to export the 
  307. SOFTWARE PRODUCT outside the United States or Canada.  
  308. You agree that you will not directly or indirectly, export or re-export the 
  309. SOFTWARE PRODUCT (or portions thereof) to any country, 
  310. other than Canada, or to any person, entity or end user subject to U.S. 
  311. export restrictions without first obtaining a State Department export license.  
  312. You warrant and represent that neither the U.S. 
  313. State Department Office of Defense Trade Controls nor any other 
  314. U.S. federal agency has suspended, revoked or denied your export privileges. 
  315. 7. PRODUCT SUPPORT. Product support for the 
  316. SOFTWARE PRODUCT is not provided by Microsoft 
  317. or its subsidiaries.  For product support, please refer to Manufacturer's support
  318.  number provided in the documentation for the HARDWARE.  
  319. Should you have any questions concerning this EULA, or if you 
  320. desire to contact Manufacturer for any other reason, 
  321. please refer to the address provided in the documentation for the HARDWARE.

  323. FOR THE LIMITED WARRANTIES AND SPECIAL 
  324. PROVISIONS PERTAINING TO YOUR PARTICULAR 
  325. JURISDICTION, PLEASE REFER TO THE WARRANTIES INCLUDED BELOW 
  326. OR PROVIDED WITH THE SOFTWARE PRODUCT PRINTED MATERIALS.
