  5.                 SOFTWARE LICENSE AGREEMENT OF
  6.                     ATAMAN SOFTWARE, L.C.
  7.  
  8. ATAMAN SOFTWARE, L.C. ("LICENSOR") IS WILLING TO LICENSE THE
  9. ACCOMPANYING SOFTWARE TO YOU ONLY IF YOU ACCEPT ALL OF THE
  10. TERMS IN THIS LICENSE AGREEMENT. PLEASE READ THE TERMS
  11. CAREFULLY BEFORE YOU INSTALL THE SOFTWARE, BECAUSE BY
  12. INSTALLING THE SOFTWARE YOU ARE AGREEING TO BE BOUND BY THE
  13. TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS,
  14. LICENSOR WILL NOT LICENSE THIS SOFTWARE TO YOU, AND IN THAT
  15. CASE YOU SHOULD IMMEDIATELY DELETE ALL COPIES OF THIS
  16. SOFTWARE YOU HAVE IN ANY FORM.

  19. OWNERSHIP OF THE SOFTWARE
  20.  
  21. 1.   The enclosed Licensor software program ("Software") and
  22.   the accompanying written materials are owned by Licensor or
  23.   its suppliers and are protected by United States copyright
  24.   laws, by laws of other nations, and by international
  25.   treaties.

  28. GRANT OF LICENSE
  29.  
  30. 2.   If you have purchased a per copy license to the
  31.   Software, Licensor grants to you the right to use one copy
  32.   of the Software on a single computer.  If the Software
  33.   consists of multiple executable programs then individually
  34.   each of those executable programs can be used only on a
  35.   single computer, but there is no requirement that all
  36.   executables must be used on the same single computer..

  38. 3.   If you have purchased a site license to the Software,
  39.   Licensor grants to you the right to install a copy of the
  40.   Software on any computer systems that you use. The Software
  41.   may be used only by members of the user base you defined in
  42.   writing to Licensor at the time of the site license
  43.   purchase.

  45. 4.   If you have not yet purchased a license to the
  46.   Software, Licensor grants to you the right to use one copy
  47.   of the Software on a single computer for an evaluation
  48.   period of 15-days.  If you wish to continue using the
  49.   Software and accompanying written materials after the
  50.   evaluation period, you must register the Software by sending
  51.   the required payment to Licensor. You will then receive a
  52.   license for continued use and a registration code that will
  53.   permit you to use the Software free of payment reminders.
  54.   The Software may come with extra programs and features that
  55.   are available for use only to registered users through the
  56.   use of their registration code.

  60. RESTRICTIONS ON USE AND TRANSFER
  61.  
  62. 5.   You may distribute the Software and accompanying
  63.   written materials to others so long as all the files
  64.   comprising the Software and accompanying written materials
  65.   are passed to the user without modification and that a clear
  66.   statement is made to the receiver of the distribution that
  67.   you are in no way transferring or assigning rights to the
  68.   Software.  The Licensor may revoke the right to distribute
  69.   the Software at any time, with or without cause, by giving
  70.   30 days written notice to the distributor.

  72. 6.   You may make printed copies of the written materials
  73.   accompanying Software provided that they used only by users
  74.   bound by this license.
  75.  
  76. 7.   You may not distribute or transfer your registration
  77.   code or transfer the rights given by the registration code.
  78.  
  79. 8.   You may not rent or lease the Software or otherwise
  80.   transfer or assign the right to use the Software.

  82. 9.   You may not reverse engineer, decompile, or disassemble
  83.   the Software.

  86. DISCLAIMER OF WARRANTY
  87.  
  88. 10.  THIS SOFTWARE AND ITS ACCOMPANYING WRITTEN MATERIALS
  89.   ARE PROVIDED BY LICENSOR "AS IS" AND ANY EXPRESS OR IMPLIED
  90.   WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED
  91.   WARRANTIES OF MERCHANTABILITY,  FITNESS FOR A PARTICULAR
  92.   PURPOSE, AND NON-INFRINGEMENT, ARE  DISCLAIMED.

  94. 11.  IN NO EVENT SHALL LICENSOR OR ITS SUPPLIERS BE LIABLE
  95.   FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR
  96.   CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO,
  97.   PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE,
  98.   DATA, SAVINGS, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER
  99.   CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT,
  100.   STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR
  101.   OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS
  102.   SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
  103.   Because some states do not allow the exclusion or limitation
  104.   of liability for consequential or incidental damages, the
  105.   above limitation may not apply to you.

  107. 12.  This Agreement is governed by the laws of the State of
  108.   Utah.
  109.

  122. U.S. GOVERNMENT RESTRICTED RIGHTS
  123.  
  124. 14.  The Software and documentation are provided with
  125.   RESTRICTED RIGHTS. Use, duplication, or disclosure by the
  126.   Government is subject to restrictions set forth in
  127.   subparagraph (c)(1) of The Rights in Technical Data and
  128.   Computer Software clause at DFARS 252.227-7013 or
  129.   subparagraphs (c)(1)(ii) and (2) of Commercial Computer
  130.   Software - Restricted Rights at 48 CFR 52.227-19, as
