  1. Cypress Lane Diversions' Software License Agreement

  4. IMPORTANT -  THIS IS A LEGAL AGREEMENT BETWEEN YOU (EITHER 
  5. AN INDIVIDUAL OR AN ENTITY) AND CYPRESS LANE DIVERSIONS. BY 
  6. INSTALLING AND/OR USING THE SOFTWARE, YOU ACKNOWLEDGE 
  7. THAT YOU HAVE READ THIS LICENSE AGREEMENT, UNDERSTAND IT, 
  8. AND AGREE TO BE BOUND BY ITS TERMS.  YOU FURTHER AGREE 
  9. THAT IT IS THE FULL AND COMPLETE AGREEMENT BETWEEN US, 
  10. SUPERSEDING ALL PRIOR WRITTEN OR VERBAL AGREEMENTS OF 
  11. ANY KIND.  IF YOU DO NOT UNDERSTAND OR DO NOT AGREE TO 
  12. THE TERMS OF THIS AGREEMENT, YOU MUST CEASE USING THIS 
  13. PRODUCT IMMEDIATELY.
  14.  
  15. 1.  GRANT OF LICENSE.  This License Agreement permits you to 
  16. use one copy of the above mentioned Cypress Lane Diversions 
  17. software program (the "SOFTWARE") on a single computer.  The 
  18. SOFTWARE is in "use" on a computer when it is loaded into 
  19. temporary memory (i.e. RAM) or installed into permanent memory 
  20. (e.g. hard disk, CD-ROM, or other storage device) of that 
  21. computer.  However, installation on a network server for the 
  22. sole purpose of internal distribution shall not constitute 
  23. "use" for which a separate license is required, provided you 
  24. have a separate license for each computer to which the 
  25. SOFTWARE is distributed.

  27. 2.  COPYRIGHT.  The SOFTWARE is owned by Cypress Lane Diversions 
  28. and is protected by United States copyright laws and international 
  29. treaty provisions.  Therefore, you must treat the SOFTWARE like 
  30. any other copyrighted material (e.g. a book or musical recording) 
  31. except that you may either (a) make one copy of the SOFTWARE 
  32. solely for backup or archival purposes, or (b) transfer the 
  33. SOFTWARE to a single hard disk provided you keep the original 
  34. solely for backup or archival purposes.  You may not copy the 
  35. written materials accompanying the SOFTWARE.

  37. 3.  OTHER RESTRICTIONS.  You may not rent or lease the 
  38. SOFTWARE, but you may transfer the SOFTWARE and 
  39. accompanying written materials on a permanent basis provided 
  40. you retain no copies and the recipient agrees to the terms of this 
  41. License  Agreement.  You may not reverse engineer, decompile, 
  42. or disassemble the SOFTWARE.  If the SOFTWARE is an 
  43. update or has been updated, any transfer must include the 
  44. most recent update and all prior versions.

  46. The attached VENDINFO data record is hereby incorporated by 
  47. reference.  Any distribution satisfying all the distribution 
  48. requirements expressed in that data record is hereby authorized.
  49.  
  50. Limited Warranty 
  51.  
  52. LIMITED WARRANTY.  This SOFTWARE is provided "as is" 
  53. without any warranty of any kind, either expressed or implied, 
  54. including, but not limited to, the implied warranties of merchantability 
  55. and fitness for a particular purpose.  The entire risk as to the quality 
  56. and performance of the SOFTWARE is with you, the licensee.  
  57. Should the SOFTWARE prove defective, you assume the risk and 
  58. liability for the entire cost of all necessary repair, service, or correction. 
  59. Some states/jurisdictions do not allow the exclusion of implied 
  60. warranties, so the above exclusion may not apply to you.  This 
  61. warranty gives you specific legal rights, and you may have other 
  62. rights which vary from state/jurisdiction to state/jurisdiction.

  64. Cypress Lane Diversions does not warranty that the functions 
  65. contained in the SOFTWARE will meet your requirements, or that 
  66. the operation of the SOFTWARE will be error-free or uninterrupted.

  68. NO OTHER WARRANTIES.  To the maximum extent permitted by 
  69. applicable law, Cypress Lane Diversions disclaims all other 
  70. warranties, either expressed or implied, including, but not 
  71. limited to, implied warranties of merchantability and fitness 
  72. for a particular purpose, with regard to the SOFTWARE, 
  73. the accompanying written materials, and any accompanying 
  74. hardware.  This limited warranty gives you specific legal 
  75. rights.  You may have others which vary from state/jurisdiction 
  76. to state/jurisdiction.
  77.  
  78. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  To the 
  79. maximum extent permitted by applicable law, in no event shall 
  80. Cypress Lane Diversions be liable for any damages whatsoever 
  81. (including, without limitation, damages for loss of business profits, 
  82. business interruption, loss of business information, 
  83. or any other pecuniary loss) arising out of the use or 
  84. inability to use this Cypress Lane Diversions product, even if 
  85. Cypress Lane Diversions has been advised of the possibility of 
  86. such damages or for any claim by any other party.  Because some 
  87. states/jurisdictions do not allow the exclusion or limitation 
  88. of liability for consequential or incidental damages, the above 
  89. limitation may not apply to you.
