  5. related to restricted rights. Use, duplication and disclosure is
  6. subject to restrictions. Contractors: Helix Software and/or licensors.

  8. BY USING THE ENCLOSED SOFTWARE YOU INDICATE YOUR ACCEPTANCE OF THESE
  9. TERMS AND CONDITIONS. IF YOU DO NOT AGREE WITH THESE TERMS YOU MAY
  10. RETURN THIS PACKAGE (INCLUDING ALL ACCOMPANYING ITEMS) TO THE PLACE
  11. YOU OBTAINED IT FOR A REFUND.

  13. The Nuts & Bolts ZipManager program (hereafter "Program") provided
  14. under this License Agreement is copyrighted and is licensed, not sold.
  15. Helix Software Company, Inc. (hereafter "Helix") grants you a license
  16. for the Program only in the country where you acquired the Program.
  17. You obtain no rights other than those specifically granted to you
  18. under this license. The term "Program" means the original and all
  19. whole or partial copies of it, including modified copies or portions
  20. merged into other programs. Helix, or its licensor, retains title to
  21. the Program. The Program provided under this Agreement may contain or
  22. be derived from portions of material provided by a third party under
  23. license to Helix. Helix has assumed the responsibility for selection
  24. of such materials and their use in the Program licensed hereunder.
  25. Nevertheless, you, and neither Helix nor its licensor(s), are
  26. responsible for the selection of the Program for your purposes, and
  27. for the installation of, use of, and results obtained from, the
  28. Program.

  30. License

  32. Under this license, you may: use the Program only on one machine; copy
  33. the Program for backup; and transfer possession of the Program to
  34. another party. If you transfer the Program, you must transfer a copy
  35. of this license, all other documentation and at least one complete,
  36. unaltered copy of the Program to the other party. You must, at the
  37. same time, either transfer all your other copies of the Program to the
  38. other party or destroy them. Your license is then terminated. The
  39. other party agrees to these terms and conditions by its first use of
  40. the Program. You must reproduce the copyright notice(s) on each copy,
  41. or partial copy, of the Program. You may not: use, copy, modify,
  42. merge, or transfer copies of the Program except as provided in this
  43. license; You may not: reverse assemble, reverse engineer or reverse
  44. compile the Program;You may not: sublicense, rent, lease, or assign
  45. the Program.

  47. Limited Warranty, Media

  49. Helix Warrants that for a period of ninety (90) days after delivery to
  50. the original user, as evidenced by a receipt, the Program shall
  51. conform substantially to the specifications as set forth in the
  52. documentation relating thereto, and both Helix and all of its
  53. licensor(s) expressly disclaim, all other warranties, express or
  54. implied, including, but not limited to, the implied warranties of
  55. merchantability and/or fitness for a particular purpose. Helix's sole
  56. responsibility shall be, at Helix's sole option, to: (i) modify or
  57. replace the Program so that the Program, as modified or replaced,
  58. conforms substantially to the specifications; or (ii) to refund the
  59. original purchase price, as evidence d by a receipt.

  61. Limitation of Remedies

  63. Helix shall have no other liability with regard to the Program. Helix
  64. will not be liable for any damages whatsoever whether in contract or
  65. in tort, including but not limited to lost profits, lost savings, lost
  66. data, or any direct, indirect or incidental damages or other economic
  67. consequential damages, or for any claim or demand against you by any
  68. other party, even if Helix, or its authorized supplier, has been
  69. advised of the possibility of such damages. The limitation of remedies
  70. described in this Section also apply to any third-party supplier of
  71. materials to Helix. The limitations of liabilities of Helix and its
  72. third-party supplier(s) are not cumulative. Each such third-party
  73. supplier(s) is (are) an intended beneficiary of this Section.

  75. General

  77. You may terminate your license at any time. Helix may terminate your
  78. license if you fail to comply with the terms and conditions of this
  79. license. In either event, you must destroy all your copies of the
  80. Program. This license is governed by the laws of the State of New
  81. York, without reference to the choice of law provisions of New York
  82. law.

  84. Acknowledgment

  86. You acknowledge that you have read this agreement, understand it, and
  87. agree to be bound by its terms and conditions. You also agree that
  88. this agreement is the only agreement between you and Helix and cannot
  89. be modified by any purchase orders, advertising or other
  90. representations by anyone, unless a written amendment has been signed
  91. by an officer of Helix.
